Common use of No Assignment or Sublicense Clause in Contracts

No Assignment or Sublicense. None of Licensee's benefits or obligations under this Agreement shall be transferred by assignment, merger, operation of law or any other means, nor shall Licensee delegate any of said benefits or obligations by sublicensing or any other means, except with the prior written consent of YMUS which consent shall not be unreasonably withheld. Any transfer or delegation of any of Licensee's rights in violation of the preceding sentences shall be null and void. Any or all of YAMAHA's rights may be transferred or delegated by YAMAHA without restriction of any kind. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the parties, their successors and assigns.
