Common use of No Broker Clause in Contracts

No Broker. Buyer has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunder.

No Broker. Buyer Seller has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller Buyer for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunder.

No Broker. Buyer Seller has not retained or employed any broker, finder or agent, nor otherwise become obligated for any broker's, finder, 's or agent's or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller for any brokerage commission, finder’s fee or other similar payment with respect to the transactions transaction contemplated hereunderby this Agreement.

No Broker. Buyer has not retained or employed any broker, finder or agent, nor otherwise become obligated for any broker's, finder, 's or agent's or similar agentfee, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller for any brokerage commission, finder’s fee or other similar payment with respect to the transactions transaction contemplated hereunderby this Agreement.

Buyer Seller has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against any of the Seller Parties for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer has not None of the Sellers nor their respective Affiliates have retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller Buyer for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller BP Group for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer Seller has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller any Buyer for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

No Broker. Buyer has not retained a broker or employed any broker, finder, or similar agent, or otherwise taken any action finder in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner herein or by the Ancillary Agreements so as to give rise to any claims valid claim against the Seller Sellers for any a finder's fee, brokerage commission, finder’s fee commission or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer has and its Affiliates have not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller Parties or any member thereof for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims Claims against the Seller for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer Seller has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against Buyer or the Seller Entities for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer Purchaser has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims Claims against the Seller for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against any of the Seller Parties for any brokerage commission, finder’s 's fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer SELLER has not retained a broker or employed any broker, finder, or similar agent, or otherwise taken any action finder in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner herein so as to give rise to any claims valid claim against the Seller either SELLER or BUYER for any a finder's fee, brokerage commission, finder’s fee commission or other similar payment with respect to the transactions contemplated hereunderpayment.

No Broker. Buyer Seller has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims Claims against any of the Seller Parties for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer Seller has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against any of the Seller Parties for any brokerage commission, finder’s 's fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer Neither Purchaser nor any of its Affiliates has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims Claims against the Seller or its Affiliates for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer Seller has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller Buyer for any brokerage commission, finder’s 's fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer has not retained or employed any broker, finder, or similar agent, or otherwise taken any action in connection with the negotiations relating to this Purchase Agreement and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderpayment.

Buyer has not retained any broker or employed finder or other person who would have any brokervalid claim against any of the parties to this Agreement for a commission, brokerage or finder, or similar agent, or otherwise taken any action ’s fee in connection with the negotiations relating to this Purchase Agreement and or the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller for any brokerage commission, finder’s fee or other similar payment with respect to the transactions contemplated hereunderhereby.

No Broker. Buyer has not Neither the Company nor Seller have retained or employed any brokeran agent, finder, or similar agent, or otherwise taken any action broker in connection with the negotiations relating to transactions contemplated by this Purchase Agreement Agreement. Seller shall indemnify, hold harmless, and defend Purchaser and the transactions contemplated hereby in a manner so as to give rise to any claims against the Seller Company for any brokerage commissionall commissions, finder’s fee or 's, and other similar payment with respect to the transactions contemplated hereunderfees and expenses of any such persons.
