No Change in Ability to Perform. There must not have occurred any extraordinary circumstance, change of law or change in the financial position of the Borrower or the Security Party which, in the sole opinion of the Bank, would affect or prejudice the ability of the Borrower or the Security Party to fully perform and discharge its respective obligations under this Agreement or the Security Documents.
