Ratification Clause Samples

The Ratification clause serves to formally confirm and validate actions, agreements, or decisions that may have been taken on behalf of a party before the formal execution of a contract. In practice, this clause ensures that any prior commitments, negotiations, or representations made by agents or representatives are officially accepted and adopted by the principal party once the contract is signed. Its core function is to eliminate ambiguity about the status of pre-contractual actions, thereby providing legal certainty and preventing disputes over whether such actions are binding.
