No Change in Law. No change shall have occurred after the date of the execution and delivery of this Agreement in applicable law or regulations thereunder or interpretations thereof by appropriate regulatory or judicial authorities which, in the opinion of the Owner Participant or the Original Loan Participant, as the case may be, would make it a violation of law or regulations for (x) Lessee, the Indenture Trustee, any Participant or the Owner Trustee to execute, deliver and perform the Operative Agreements to which any of them is a party or (y) the Original Loan Participant or the Owner Participant to make its Commitment available or, in the case of the Original Loan Participant, to acquire the Series SWA 1996 Trust N620SW-I Certificate or to realize the benefits of the security afforded by the Trust Indenture.
