No Managerial or Operational Control. The parties hereby confirm and agree that, except for the rights specifically granted herein, in no event shall Buyer or any Affiliate of Buyer have any managerial or operational control of Issuer. If necessary, to avoid such control, Buyer shall take action requested by Issuer under Section 2.2(b) hereof.
