No Material Adverse Event. Nothing shall have occurred since the Closing Date which the Agent shall determine either (i) constitutes a Material Adverse Event, or (ii) has, or may have, an adverse effect on the rights or remedies of the Agent and the Lenders under this Agreement or any other Loan Document.
