No Payment on Guarantees in Certain Circumstances Sample Clauses

The "No Payment on Guarantees in Certain Circumstances" clause restricts the obligation of a guarantor to make payments under a guarantee if specific events or conditions occur. Typically, this clause applies in situations such as insolvency, illegality, or regulatory prohibitions affecting the primary obligor or the guarantor, thereby suspending or excusing payment obligations temporarily or permanently. Its core function is to protect the guarantor from being forced to pay when legal or practical barriers make such payments impossible or inappropriate, thereby allocating risk and clarifying the limits of the guarantor's liability.
