No SPAC Common Stock Transactions Clause Samples

The "No SPAC Common Stock Transactions" clause prohibits parties from engaging in transactions involving the common stock of a Special Purpose Acquisition Company (SPAC) during a specified period or under certain conditions. This typically means that neither party may buy, sell, transfer, or otherwise deal in SPAC common stock, which can include direct sales, pledges, or other forms of disposition. The core purpose of this clause is to prevent conflicts of interest, insider trading, or market manipulation during sensitive phases of a SPAC transaction, thereby ensuring fairness and regulatory compliance.
