Common use of Non-Assessable Shares Clause in Contracts

Non-Assessable Shares. The Securities being issued hereunder, subject to the Company’s receipt of stockholder approval for an increase in the number of its authorized shares, will be duly authorized and, the Shares, when issued to the Purchaser for the consideration herein provided, and the shares of Common Stock issued upon the proper exercise of the Warrants, will be validly issued, fully paid and non-assessable.

Non-Assessable Shares.
