Common use of Non-Member Attendance Clause in Contracts

Non-Member Attendance. Each Party may from time to time invite a reasonable number of participants, in addition to its representatives, to attend JSC meetings in a non-voting capacity; provided that if either Party intends to have any Third Party (including any consultant) attend such a meeting, such Party shall provide reasonable prior written notice to the other Party and obtain the other Party’s approval for such Third Party to attend such meeting, which approval shall not be unreasonably withheld or delayed. Such Party shall ensure that such Third Party is bound by written confidentiality and non-use obligations consistent with the terms of this Agreement.

Non-Member Attendance. Such Party shall will ensure that such Third Party is bound by written obligations of confidentiality and non-use obligations consistent with the terms of this Agreementat least as stringent as those set forth in Article 12 [***].

Such Party shall ensure that such Third Party does not vote or otherwise participate in the decision-making process of the JSC and is bound by written confidentiality and non-use obligations consistent with the terms of this Agreement.

Such Party shall ensure that such Third Party is bound by written confidentiality and non-use obligations consistent with the terms of this Agreementoccur.
