Non-Member Attendance. Each Party may from time to time invite a reasonable number of participants, in addition to its representatives, to attend a meeting of any Committee (in a non-voting capacity) in the event that the planned agenda for such Committee meeting would require such participants’ expertise; provided that if either Party intends to have any Third Party (including any consultant or counsel) attend such a meeting, such Party shall provide prior written notice to the other Party, shall obtain approval from such other Party for such Third Party to attend (which shall not be unreasonably withheld, conditioned or delayed by the notified Party), and shall ensure that such Third Party is bound by confidentiality and non-use obligations consistent with the terms of this Agreement.
