Nonsolicitation of Customers and Vendors Sample Clauses
The Nonsolicitation of Customers and Vendors clause prohibits a party, typically an employee or contractor, from directly or indirectly approaching or attempting to do business with the other party’s customers or vendors for a specified period after the relationship ends. This restriction often applies to both existing and prospective customers or vendors with whom the party had contact during their engagement, and may include limitations on making offers, inducing, or encouraging these third parties to alter their business relationships. The core purpose of this clause is to protect the business’s relationships and prevent unfair competition by ensuring that valuable contacts and business opportunities are not diverted away after the contractual relationship concludes.
Nonsolicitation of Customers and Vendors. Executive covenants and agrees that during the Restricted Period, Executive will not, directly or indirectly, knowingly induce, or attempt to induce, any customer, salesperson, distributor, supplier, vendor, manufacturer, representative, agent, jobber, licensee or other person known by Executive to be transacting business with the Company or any subsidiary or affiliate of the Company (collectively the “Customers” and “Vendors”) to reduce or cease doing business with the Company or any such subsidiary or affiliate of the Company, or in any way to interfere with the relationship between any such Customer or Vendor, on the one hand, and the Company or any subsidiary or affiliate of the Company, on the other hand.
Nonsolicitation of Customers and Vendors. Executive agrees that for a period of two (2) years following the Termination Date, Executive shall not directly or indirectly solicit or attempt to induce any customer, vendor, or supplier of Company to end its relationship with Company and/or conduct business with Executive or any entity in which Executive has a financial interest.

13. Section 5(g) of the Employment Agreement is deleted in its entirety and the following substituted in lieu thereof:
Nonsolicitation of Customers and Vendors. Executive hereby agrees that he will not, during the Nonsolicitation Period, in any manner (other than on behalf of the Company), directly or indirectly, without the written consent of the Company, solicit or attempt to solicit any Business from any current or former Customer or vendor of the Company, or any other party from which the Company derives revenues, with whom Executive had contact during the last eighteen months of his employment by the Company.
