Notice, Filing of Signature Pages, and Assimilation. The Secretary of the Board shall promptly cause notice of the admission of an applicant as a Party to this Agreement to be provided to the other Parties to this Agreement, and shall file with the Secretary of State and the County Clerks of each of the counties in which any of the Parties to this Agreement are located a copy of the additional signature page or pages of such additional Party or Parties. A new member shall have up to 30 days to appoint a member of the Community Alliance Board by delivering notice of same to the CEO and to all members of the Board. All actions of the Board, and all determinations of quorum, shall be based on the existing membership prior to the date of appointment of any new member (i.e., the number of board members shall not be deemed to increase) until the seventh day after the date of the notice of the appointment to the Board.

  • Form of Signature The parties hereto agree to accept a facsimile transmission copy of their respective actual signatures as evidence of their actual signatures to this Agreement and any modification or amendment of this Agreement; provided, however, that each party who produces a facsimile signature agrees, by the express terms hereof, to place, promptly after transmission of his or her signature by fax, a true and correct original copy of his or her signature in overnight mail to the address of the other party.

  • Counterpart Signature This Agreement may be signed (including by electronic signature) and delivered (including by facsimile transmission, by email in PDF or similar format or using an online contracting service designated by AMO) in counterparts, and each signed and delivered counterpart will be deemed an original and both counterparts will together constitute one and the same document.

  • Representation of Signatories Each of the undersigned expressly warrants and represents that they have full power and authority to sign this Agreement on behalf of the party indicated and that their signature will bind the party indicated to the terms hereof.

  • Electronic Execution of Assignments The words “execution,” “signed,” “signature,” and words of like import in any Assignment and Assumption shall be deemed to include electronic signatures or the keeping of records in electronic form, each of which shall be of the same legal effect, validity or enforceability as a manually executed signature or the use of a paper-based recordkeeping system, as the case may be, to the extent and as provided for in any applicable law, including the Federal Electronic Signatures in Global and National Commerce Act, the New York State Electronic Signatures and Records Act, or any other similar state laws based on the Uniform Electronic Transactions Act.

  • Consent to Electronic Delivery You agree that we may deliver all notices, tax reports and other documents and information to you by email or another electronic delivery method we choose. You agree to tell us right away if you change your email address or home mailing address so we can send information to the new address.
