Common use of Notice of Subsequent Events Clause in Contracts

Notice of Subsequent Events. ▇▇▇▇▇ shall give prompt notice to Acquiror or Acquisition Subsidiary, and Acquiror or Acquisition Subsidiary shall give prompt notice to ▇▇▇▇▇, as the case may be, of (i) the occurrence, or non-occurrence, of any event the respective occurrence, or non-occurrence, of which would reasonably be likely to cause any condition contained in this Agreement to be unsatisfied or to cause any of its representations or warranties in this Agreement to be untrue or inaccurate in any material respect at any time from the date hereof through the Effective Time and (ii) any failure of ▇▇▇▇▇, Acquiror or Acquisition Subsidiary, as the case may be, to comply with or satisfy any covenant or agreement to be complied with under this Agreement; provided, however, that the delivery of any notice pursuant to this Section 5.11 shall not relieve any party giving such notice of its obligation hereunder.
