Notice to Developer. If Section 25.1 (Right to Step-in) applies and the Authority wishes to take action, the Authority shall notify Developer in writing of the following: 25.2.1 the action it wishes to take; 25.2.2 the reason for such action; 25.2.3 the date it wishes to commence such action; 25.2.4 the time period which it believes will be necessary for such action; and 25.2.5 to the extent practicable, the effect on Developer and its obligation to carry out the Works during the period such action is being taken.
Notice to Developer. Prior to taking any such corrective action, the City agrees to notify the Developer in writing if the condition of said Improvements does not conform to the standards and requirements set forth herein, including without limitation the Maintenance Standards, and to specify the deficiencies and the actions required to be taken by the Developer to cure the deficiencies. The City, in its sole discretion, may agree to defer the exercise of its remedies for up to sixty (60) days pursuant to a Developer Default provided the Developer agrees to meet in a non-binding forum with a neutral third-party from the greater Washington, D.C. metropolitan area legal community, such as a retired judge or lawyer with substantial mediation experience, collectively chosen by the Developer and City (and who will each pay for one-half of such neutral third-party’s fee), who will advise and attempt to assist the Parties in reaching a resolution of the Developer’s Default. The foregoing notwithstanding, if at the end of the additional 60-day period, the Developer’s Default is not resolved to the satisfaction of the City in its sole discretion then the City may terminate this Agreement and the Ground Lease and shall be free to exercise all of the remedies provided to the City herein.
Notice to Developer. Subject to Paragraph 9 herein the Municipality covenants and agrees that, if in the event of default of the Developer under any of the provisions of this Agreement, it becomes necessary for the Municipality to realize upon its security or deposits, the Municipality shall give the Developer five (5) days prior notice in writing of its intention to realize upon the security or deposits. In the event that the Developer fails to cure any default within the said five (5) day notice period, the Municipality shall be entitled to realize upon its security or deposits without further notice to the Developer in accordance with the provisions of this Agreement.

The Company also agrees that proper disclosure of such arrangement or potential arrangement will be made in the proxy statement which the Company will file for purposes of soliciting stockholder approval for the Business Combination.

  • Notice to Tenant After notice is given to Tenant by Lender that the Landlord is in default under the Note and the Security Instrument and that the rentals under the Lease should be paid to Lender pursuant to the terms of the assignment of leases and rents executed and delivered by Landlord to Lender in connection therewith, Tenant shall thereafter pay to Lender or as directed by the Lender, all rentals and all other monies due or to become due to Landlord under the Lease and Landlord hereby expressly authorizes Tenant to make such payments to Lender and hereby releases and discharges Tenant from any liability to Landlord on account of any such payments.

(iii) After Landlord has received the notice provided for by subsection (b)(i) above, the Tenant, upon being requested to do so by Landlord, shall with reasonable promptness provide Landlord with copies of the note or other obligation secured by such Permitted Leasehold Mortgage and of any other documents pertinent to the Permitted Leasehold Mortgage as specified by the Landlord. From time to time upon being requested to do so by Landlord, Tenant shall also notify Landlord of the date and place of recording and other pertinent recording data with respect to such instruments as have been recorded.
