Number; Election; Initial Members Committee. The Members Committee shall consist of four (4) individuals (each, a “Representative”). NU Ventures, together with its Permitted Transferees, shall have the right to collectively appoint two (2) Representatives. NSTAR Ventures, together with its Permitted Transferees, shall have the right to collectively appoint two (2) Representatives. The initial Representatives shall consist of the four individuals set forth on Schedule 7.2. Each such individual shall be deemed duly appointed to the Members Committee as of the date of this Agreement. The Company shall reimburse the Representatives for reasonable expenses incurred by the Representatives in carrying out their responsibilities as Representatives.
