OFFER BY SERVICE PROVIDER. 11.1. Signature of this Agreement by the Service Provider shall be an offer by the Service Provider to the Fund to enter into this Agreement, which offer shall be irrevocable for a period of 90 (ninety) days from the date of signature by the Service Provider. 11.2. This Agreement shall be concluded and be binding on the Fund only when signed by the Fund, until which time no obligations of any kind whatsoever shall exist on the part of the Fund in respect of any matter herein provided or referred to.

  • Forfeiture upon Termination of Status as a Service Provider Notwithstanding any contrary provision of this Award Agreement, the balance of the Restricted Stock Units that have not vested as of the time of Participant’s termination as a Service Provider for any or no reason and Participant’s right to acquire any Shares hereunder will immediately terminate.

  • INDEPENDENT PERSONAL SERVICES 1. Income derived by a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State unless he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities. If he has such a fixed base, the income may be taxed in the other State but only so much of it as is attributable to that fixed base. 2. The term "professional services" includes especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, lawyers, engineers, architects, dentists and accountants.
