Ongoing Development. Throughout the Term of this Agreement, we may (at our sole discretion) perform additional development works or modifications to the EarlyWorks Services.

Ongoing Development. Wasabi may develop and provide ongoing innovation to the Wasabi Service, including new features, functionality, and efficiencies. In the event Wasabi adds new features or functionality (collectively, “New Features”) to the Wasabi Service, Wasabi may offer the New Features to you at no additional charge or, if Wasabi generally charges customers for such functionality, Wasabi may condition your use of the New Features on the payment of additional Fees.

Ongoing Development. 8.1 As identified at the outset, the Council and its Community Planning Partners in East Ayrshire agreed to have a joint SOA in place from 1 April 2008. 8.2 Effective community engagement lies at the heart of the Community Planning process in East Ayrshire and building the capacity of community representatives on the CPP Board, Local Community Planning Forums and the Federations of Community Groups is fundamental to ensuring embedded and sustained community ownership of the SOA. In addition, the support provided to the newly established Children and Young People’s Forum and Equalities Forum will be essential in ensuring effective community engagement in the overall process. 8.3 The Federations of Community Groups have been systematically involved in the ongoing development of the SOA through their participation in the CPP Board. In April 2008, information on the draft SOA was presented to project representatives and key stakeholders as part of the Fairer Scotland Fund briefings. In addition, a dedicated SOA briefing and engagement meeting was convened in May 2008 with a range of National and Local Voluntary Organisations, with agreement for an ongoing discussion in respect of continued robust engagement. 8.4 Our third mid-term review of the Community Plan Action Plans, due in March 2009, has provided an opportunity to review the SOA with a range of key stakeholders, including Partners and community and voluntary organisations. This will allow the CPP to consider any need to re-align local priorities, timed to coincide with the end of the first year of SOA implementation. In addition, the second four-yearly review of the Community Plan, due in March 2011, coincides with the end of SSR 2007. This timing will provide a further opportunity to review local and national priorities and statutory plans to ensure alignment against national strategic aims and objectives in place at that time. 8.5 In respect of the voluntary sector, work is being taken forward in East Ayrshire to further develop the relationships between the third sector, the Local Authority and the Community Planning Partnership, which will the further strengthen the third sector’s role in delivering our SOA. 8.6 We have recently reviewed and revised our Community Health Partnership (CHP) structure in East Ayrshire, which allows us to better plan and work collaboratively with our partners from NHS Ayrshire and Arran, and the voluntary and community sectors to address local health issues. Ongoing Development. 8.1 Due to the ongoing development of MAXON’s Software products, current and previous versions of MAXON’s Software may differ, possibly limiting the Software’s usability. You recognize that developmental differences do not constitute a defect in the item and that as long as the Software is still under development, adjustments may be necessary and work results, as a matter of prudent risk management, should be backed up.

Ongoing Development. The Parties acknowledge and agree that additional Development will be required to obtain Regulatory Approvals for the Licensed Products in the Territory. Forest shall have the sole and exclusive right, at its sole cost and expense, to Develop (or have Developed) the Licensed Products in the Territory, consistent with the Development Plan, where applicable, and under the oversight of the JDC. ▇▇▇▇▇▇▇ shall not, directly or indirectly, whether alone or together with a Third Party, Develop any Licensed Product for any purpose in the Territory other than to support commercialization of a Returned Licensed Product in any Terminated Territory. For the avoidance of doubt, (a) Forest may Develop (or have Developed) the Licensed Products in the Territory outside of the Development Plan in countries that are not addressed in the Development Plan, and (b) ▇▇▇▇▇▇▇ shall bear, and shall not be entitled to reimbursement for, any costs and expenses incurred by ▇▇▇▇▇▇▇ prior to the Effective Date or, except as otherwise expressly provided in this Agreement, any costs or expenses incurred by ▇▇▇▇▇▇▇ in performing its obligations under this Agreement.

Ongoing Development. BTE’s strategic plan involves creating a competitive advantage in the industry through the continual improvement of the performance, availability, scalability and reliability of the Products. The confidential redacted portion has been omitted and filed separately with the Securities and Exchange Commission. and assess the availability and reliability of the Products in order to achieve reliability and availability standards set forth in this Agreement, it being agreed that the parties shall develop and regularly update reliability and availability standards (“Reliability/Availability Standards”) applicable to the Products following commercial release of such Products; (b) monitor and assess other performance criteria of the Products as referenced in the Documentation; and (c) to transfer know-how as reasonably requested by BTE for Product use and maintenance.
