OPERATOR’S MANAGEMENT OBLIGATIONS. 7.1 General The Operator will, subject to the obligations of the County Council, in managing the Facilities: 7.1.1 implement the Cleaning Programme; and 7.1.2 keep the Facilities ready for use (subject to the County Council’s obligations). 7.1.3 comply with the maintenance obligations set out in Schedule 2 7.2 Operating Systems The Operator will design, implement and maintain appropriate systems for the efficient running of the Facilities, including the following: 7.2.1 a comprehensive Facilities booking system for the whole and any part of the Facilities, including rules to promote fairness and maximise use of the Facilities during Public Time; 7.2.2 a security policy, systems and personnel, during such times as the Facilities are open for Use by the Public during Public Time; 7.2.3 to manage car parking by the Public who use the Facilities and the car parking areas described in the Underlease during times when the premises are used by the Public during Public Time and not to levy any charges on users of the Facilities for the provision of such car parking facilities; 7.2.4 to keep records of all Use of the Facilities and all income received which records will be available for inspection by the County Council and the School if so required; 7.2.5 to operate the relevant council’s current concessionary Leisure Card Scheme with the detailed implementation of this Scheme to be agreed between the Operator and the relevant council within one month of the Commencement Date and with the continuing operation of the Scheme to be reviewed annually by the Operator and the relevant council on each anniversary of the Commencement Date. Any future changes made to the relevant council’s current Leisure Card Scheme will be implemented by the Operator provided they do not have an adverse financial impact on the Operator’s activities 7.3 Events Programme The Operator will develop, publish, maintain and run a balanced programme of Appropriate Sports at the Facilities during Public Time to improve the quality and availability of sporting opportunities for local people and organisations having due regard to the physical characteristics of the Facilities, demand for Use, financial viability and minority interests and the needs and aspirations of the local community. Twice a year at the meeting of the Joint Facilities Committee the programme of Appropriate Sports will be reviewed.   • PROCUREMENT OBLIGATIONS Notwithstanding any other provisions of this Part B, where in this Part B the Customer accepts an obligation to procure that a Former Supplier does or does not do something, such obligation shall be limited so that it extends only to the extent that the Customer's contract with the Former Supplier contains a contractual right in that regard which the Customer may enforce, or otherwise so that it requires only that the Customer must use reasonable endeavours to procure that the Former Supplier does or does not act accordingly.

  • Development Obligations 1. The College supports the development, production, and dissemination of copyrightable, trademarkable, patentable, and other intellectual properties by its employees. 2. It is understood that intellectual property developed by employees on or off College time, except for those materials for which the College had specifically contracted prior to June 9, 1998, shall remain the property of such employees, but shall continue to be used for the benefit of the College while the employee remains an employee of the College.

  • Client Obligations 3.1 The Client warrants and represents that: 3.1.1 it shall co-operate with Centaur as required for the proper performance of the Services; 3.1.2 it shall provide, for Centaur, its agents, subcontractors, consultants and employees, in a timely manner and at no charge, access to the Client's premises during normal office hours (being Monday – Friday 8am – 6pm), office accommodation, data and other facilities as is reasonably required by Centaur or any of them for the proper performance of the Services; 3.1.3 all information it has provided to Centaur in relation to the Services as at the date of the Order Form is accurate, complete and is not misleading and it shall provide, in a timely manner, such further information and Client Material as Centaur may require for the proper performance of the Services, and ensure that such information and Client Material is accurate, complete and not misleading; 3.1.4 it shall be responsible (at its own cost) for preparing and maintaining the relevant premises for the supply of the Services; 3.1.5 it shall inform Centaur of all health and safety rules and regulations and any other reasonable security requirements that apply at any of the Client's premises; 3.1.6 it shall only use the Services for internal business purposes and, without prejudice to the foregoing, shall not use the Services, the Deliverables or any Centaur Materials to develop a product or service that competes with any of the products or services provided by Centaur; 3.1.7 the Client Materials shall not infringe any third party rights, including any third party Intellectual Property Rights; and 3.1.8 it shall obtain and maintain all necessary licences and consents and comply with all relevant legislation in relation to the Services, before the date on which the Services are to start. 3.2 If Centaur's performance of its obligations under this Agreement is prevented or delayed by any act or omission of the Client, its agents, subcontractors, consultants or employees, Centaur shall not be liable for any costs, charges or losses sustained or incurred by the Client that arise directly or indirectly from such prevention or delay.

  • Joint Obligations A. The University and the student share the responsibility for ensuring the quality of life within the residence halls, their maintenance, furnishings and facilities, and for a physical environment secure from fire and other hazards. The University will work with students to promote effective security of persons and property in the residence halls.

  • Independent Obligations The Guarantor acknowledges that its obligations hereunder are independent of the obligations of the Issuer with respect to the Capital Securities and that the Guarantor shall be liable as principal and as debtor hereunder to make Guarantee Payments pursuant to the terms of this Guarantee notwithstanding the occurrence of any event referred to in subsections (a) through (g), inclusive, of Section 4.3 hereof.
