Common use of Order of Disclosure Clause in Contracts

Order of Disclosure. If a Party is legally required to disclose Confidential Information of the other Party by law, rule, regulation, order or other governmental action, or action of any entity with the right, power, and authority to do so, including but not limited to subpoena, oral deposition, interrogatories, requests for production of documents, or administrative order, that Party shall provide the other Party with prompt notice of such request(s) or requirement(s) so that the other Party may seek an appropriate protective order or waive compliance with the terms of this Agreement. In the absence of a protective order or waiver, the disclosing Party shall disclose such Confidential Information which in the opinion of its counsel the Party is legally required to disclose. Each Party will use reasonable efforts to obtain reliable assurance that confidential treatment will be accorded any Confidential Information so furnished.
