Common use of Other Condition Clause in Contracts

Other Condition. To the Company’s Knowledge, no facts, events or conditions with respect to the past or present operations or facilities of the Companies or the Business exist which could reasonably be expected to interfere in any material respect with or prevent continued compliance with, or could reasonably be expected to give rise to any common law or statutory liability or otherwise form the reasonable basis of any claim, action, suit, proceeding or hearing against or involving the Companies or the Business under any Environmental and Safety Requirement based on any such fact, event or circumstance, including liability for cleanup costs, personal injury or property damage in each of the foregoing cases except for such matters which would not reasonably be expected to individually or in the aggregate, have a Material Adverse Effect.
