Other Governmental Action. No statute, rule or regulation shall have been enacted by any Governmental Authority which has the effect referred to in paragraph (d) above.

Any action is taken by any governmental authority that (a) in the sole opinion of Lender, deprives Borrower of any right, privilege or franchise required to operate its business, or substantially restrict the exercise of such right, privilege or franchise, (b) in the sole opinion of Lender, materially affects the likelihood of Borrower's full and timely performance of its obligations under this Agreement, and (c) is not revoked or rescinded within 45 days after it becomes effective.
