Other Monitoring Activities. 2.9.8.1. In consultation with the Department, the Contractor shall participate in and respond to other Department and/or designee compliance monitoring activities, including but not limited to: 2.9.8.1.1. Encounter Data analysis; Encounter Data validation (the comparison of Encounter Data with Medical Records; 2.9.8.1.2. Appeals analysis to identify trends in the Community Mental Health Services Program and among behavioral health care organizations; and, 2.9.8.1.3. Other reviews determined by the Department.
Other Monitoring Activities. (1) The IPA II beneficiary shall apply transparent, non-discriminatory and effective review procedures concerning the actual implementation of the tasks entrusted including regular, systematic and properly planned ex-post monitoring reviews to assess the relevance, efficiency, effectiveness, impact and sustainability of the IPA II assistance. (2) Other monitoring platforms may be set up where appropriate. Their activities and outcomes shall be reported to the IPA monitoring committee.
Other Monitoring Activities. To assist the Council in monitoring compliance with this Agreement, the Subrecipient will attend Subrecipient meetings as requested by the Council and permit site visits by Council staff, during business hours, upon reasonable notice. The Subrecipient will submit to the Council a copy of any promotional information regarding the Project disseminated by the Subrecipient during the Term of this Agreement.
Other Monitoring Activities. During the term of this Agreement, the Company shall provide Investor’s representatives on the Operating Committee with any financial or other information reasonably requested by such Investor representatives. Additionally, the Company shall make available to Investor’s representatives on the Operating Committee an opportunity to meet in person with officers, directors and other employees of the Company and its Subsidiaries upon reasonable request, and to conduct telephonic conferences with Investor’s representatives after the Company delivers any information reports under the Securities Purchase Agreement; provided, that, in each case, the parties hereby agree that in person meetings of the Operating Committee shall take place on a more frequent basis than monthly if reasonably requested by Investor or its representatives where, in Investor’s or its representatives’ determination, the circumstances warrant, taking into account the Company’s and its respective Subsidiaries’ performance or pending transactions. The Company will provide Investor’s representatives on the Operating Committee electronic copies of management reports regularly received by the Chief Executive Officer or President of the Company to the extent Investor may reasonably request. In addition, Investor’s representatives on the Operating Committee shall be authorized to meet with the Company’s lenders at any reasonable time during normal business hours and from time to time.
Other Monitoring Activities. To assist the Council in monitoring compliance with this agreement, the Grantee agrees to attend Grantee meetings as requested by the Council and to permit site visits by Council staff, during business hours, upon reasonable notice. The Grantee agrees to submit to the Council a copy of any promotional information regarding the Grant Project disseminated by the Grantee during the term of this agreement.
Other Monitoring Activities. During the term of this Agreement, the Company and the Subsidiaries shall provide LLCP with any financial or other information reasonably requested by LLCP, and shall make available to LLCP an opportunity to meet with officers, directors and other employees of the Company or any Subsidiary upon reasonable request of LLCP. In addition, LLCP shall, with prior notice to the Company, be free to meet with the Company's or the Subsidiaries' lenders at any time and from time to time. Such notice shall include the topics to be discussed and shall provide an opportunity for a representative of the Company to participate in such meeting.
Other Monitoring Activities. To assist the Council in monitoring compliance with the grant agreement, Recipient agrees to attend meetings as requested by Council staff and to permit site visits by Council staff, during business hours, upon reasonable notice.

Related to Other Monitoring Activities

  • Monitoring Activities The Cheyenne MPO shall have the right to monitor all activities related to this Agreement that are performed by the Consultant or its subconsultants. This shall include, but not be limited to, the right to make site inspections at any time and with reasonable notice; to bring experts and consultants on site to examine or evaluate completed work or work in progress; to examine the books, ledgers, documents, papers, and records pertinent to this Agreement; and to observe personnel in every phase of performance of the related work.

  • Marketing Activities The Borrower will not, and will not permit any of its Subsidiaries to, engage in marketing activities for any Hydrocarbons or enter into any contracts related thereto other than (i) contracts for the sale of Hydrocarbons scheduled or reasonably estimated to be produced from their proved Oil and Gas Properties during the period of such contract, (ii) contracts for the sale of Hydrocarbons scheduled or reasonably estimated to be produced from proved Oil and Gas Properties of third parties during the period of such contract associated with the Oil and Gas Properties of the Borrower and its Subsidiaries that the Borrower or one of its Subsidiaries has the right to market pursuant to joint operating agreements, unitization agreements or other similar contracts that are usual and customary in the oil and gas business and (iii) other contracts for the purchase and/or sale of Hydrocarbons of third parties (A) which have generally offsetting provisions (i.e. corresponding pricing mechanics, delivery dates and points and volumes) such that no “position” is taken and (B) for which appropriate credit support has been taken to alleviate the material credit risks of the counterparty thereto.

  • Trading Activities Neither the Buyer nor its affiliates has an open short position in the common stock of the Company and the Buyer agrees that it shall not, and that it will cause its affiliates not to, engage in any short sales of or hedging transactions with respect to the common stock of the Company.

  • Activities Except with the prior written consent of the Board, Executive will not during his employment with the Company undertake or engage in any other employment, occupation or business enterprise, other than ones in which Executive is a passive investor. Executive may engage in civic and not-for-profit activities so long as such activities do not materially interfere with the performance of his duties hereunder.

  • No Marketing Activities Contractor is prohibited from using the Work for any Contractor or third-party marketing, advertising, or promotional activities, without the prior written consent of System Agency. The foregoing prohibition includes, without limitation, the placement of banners, pop-up ads, or other advertisements promoting Contractor’s or a third party’s products, services, workshops, trainings, or other commercial offerings on any website portal or internet-based service or software application hosted or managed by Contractor as part of the Work.
