OWNERSHIP AND USE OF WORK PRODUCT OF CONSULTANT Clause Samples

The "Ownership and Use of Work Product of Consultant" clause defines who holds the rights to any materials, deliverables, or intellectual property created by the consultant during the course of their engagement. Typically, this clause specifies whether the client or the consultant retains ownership of the work product, and may outline any licenses or permissions granted for its use. For example, it might state that all reports, designs, or software developed by the consultant become the exclusive property of the client, or alternatively, that the consultant retains certain rights to reuse generic tools or methodologies. The core function of this clause is to clearly allocate intellectual property rights, preventing future disputes over the use, distribution, or modification of the consultant's work.
