Common use of Ownership of Proprietary Property Clause in Contracts

Ownership of Proprietary Property. The Executive hereby covenants and agrees that (A) with regard to information constituting a Trade Secret, at all times during the Executive's employment with the Employer and all times thereafter during which such information continues to constitute a Trade Secret; and (B) with regard to any Confidential Information, at all times during the Term and while the Executive is entitled to future payments under Section 7, the Executive shall regard and treat all information constituting a Trade Secret or Confidential Information as strictly confidential and wholly owned by the Employer and will not, for any reason in any fashion, either directly or indirectly, use, sell, lend, lease, distribute, license, give, transfer, assign, show, disclose, disseminate, reproduce, copy, appropriate or otherwise communicate any such information to any party for any purpose other than strictly in accordance with the express terms of this Agreement and other than as may be required by law.

The Executive hereby covenants and agrees that that: (A) with regard to information constituting a Trade Secret, at all times during the Executive's employment with the Employer Company and all times thereafter during which such information continues to constitute a Trade Secret; and (B) with regard to any Confidential Information, at all times during the Term Executive's employment with the Company and while for three (3) years after the Executive is entitled to future payments under Section 7termination of the Executive's employment with the Company, the Executive shall regard and treat all information constituting a Trade Secret or Confidential Information as strictly confidential and wholly owned by the Employer Company and will not, for any reason in any fashion, either directly or indirectly, use, sell, lend, lease, distribute, licenseLicense, give, transfer, assign, show, disclose, disseminate, reproduce, copy, appropriate or otherwise communicate any such information to any party for any purpose other than strictly in accordance with the express terms of this Agreement and other than as may be required by law.
