Ownership to the Result. 8.2.1. The legal, economical and beneficial ownership to any Result shall initially be vested in the Party hav- ing reported the Result. Each Party hereby consents to submit any Result which such Party may develop and/ or invent under this Agreement, whether alone or in collaboration with other Parties, to a Declaration of Re- ▇▇▇▇ Ownership and to transfer the Result in accordance with the decision of the Project Board. The Declaration of Result Ownership shall be understood as the process by which, following such decision by the Project Board, the full and undivided ownership and all rights, titles and interests to such Result is transferred and assigned, with- out compensation, to any designated Primary Party or group of Primary Parties. 8.2.2. The Result reported shall be on the agenda for the following meeting of the Project Board. The chairman shall establish which of the Primary Parties are interested in ownership of the Result. Should one or more Prima- ry Parties be interested in ownership of the Result, the Project Board shall decide that the Result be subject to a Declaration of Result Ownership by which the Result is transferred and assigned to the Primary Party or Pri- ▇▇▇▇ Parties choosing to become owners or co-owners. All remaining Primary Parties shall have a consideration period of 30 days, as of the date of the meeting of the Project Board, during which they are entitled to become co-owners of the Result by a written notice to the Project Manager and to the owner(s) of the Result. 8.2.3. Following a decision by the Project Board that a Result shall be subject to a Declaration of Result Own- ership, all rights, titles and interests in and to the Result, including the right to dispose of and command of such Result, shall be deemed to have been transferred and as- signed by the owner(s) to the designated Party or group of Parties. 8.2.4. The previous owner(s) hereby undertake(s) to execute relevant documents in favour of the new own- er(s) following the Declaration of Result Ownership, as the owners may reasonably require in order to secure their rights to the Results. 8.2.5. Following a Declaration of Result Ownership, the owner(s) of said Result shall grant the other Parties a licence to the Result as Background Information pursu- ant to Section 7 and it shall be noted and numbered in the list of Background Information. 8.2.6. For the avoidance of doubt, Parties not being owners of the Result shall not be entitled to use the Re- ▇▇▇▇ in any other way than as granted in the Background Information licence.

All remaining Primary Work Package Parties shall have a consideration consider- ation period of 30 days, as of the date of the meeting of the Project BoardSteering Committee, during which they are entitled to become co-owners of the Result by a written notice to the Project Manager chairman of the Steering Committee and to the owner(s) of the Result. Co-owning Parties shall, unless otherwise agreed, own the Result in equal shares. 8.2.3. Following a decision by the Project Board Steering Committee that a Result shall be subject to a Declaration of Result Own- ershipOwnership , all rights, titles and interests in and to the Result, including the right to dispose of and command of such Result, shall be deemed to have been transferred and as- signed assigned by the owner(s) to the designated Party or group of Parties. 8.2.4. The previous owner(s) hereby undertake(s) to execute relevant documents in favour of the new own- er(s) following the Declaration of Result Ownership, as the owners may reasonably require in order to secure their rights to the Results. 8.2.5. Following a an Declaration of Result Ownership, the owner(s) of said Result shall grant the other Parties a licence to present the Result as Background Information pursu- ant to Section 7 the Parties at the following meeting of the Project Board and it shall be noted and numbered in the list of Background Information. The owner(s) of said Background Information shall grant a licence to (i) the Parties to the Work Package where the Result now being Background Information was reported, and (ii) to the Parties of such other Work Packages as is deemed by the Managing Party needing the Background Information. The licence shall comprise: a) a royalty-free licence for use in the Project for the purpose of implementing the Project Plan; and b) a licence on fair and reasonable con- ditions for the purpose of exercising a subsequent result dependent on said Background Information. Licenses granted pursuant to subsection (b) above shall not, un- less otherwise agreed, be interpreted as comprising also a right to use the Background Information separately to such subsequent result. 8.2.6. For the avoidance of doubt, Parties not being owners of the Result shall not be entitled to use the Re- ▇▇▇▇ in any other way than as granted in the Background Information licence.

The owner(s) of said Background Information shall grant a licence to (i) the Parties to the Work Pack- age where the Result now being Background Information was reported, and (ii) to the Parties of such other Work Packages as is deemed by the Managing Party needing the Background Information. The licence shall comprise: a) a royalty-free licence for use in the relevant Work Package for the purpose of implementing the Project Plan; and b) a licence on fair and reasonable conditions for the purpose of exercising a subsequent result dependent on said Background In- formation. Licenses granted pursuant to subsection (b) above shall not, unless otherwise agreed, be interpreted as comprising also a right to use the Background Infor- mation separately to such subsequent result. 8.2.6. For the avoidance of doubt, Parties not being owners of the Result shall not be entitled to use the Re- ▇▇▇▇ in any other way than as granted in the Background Information licence. 8.2.7. When tranferring rights pertaining to Results and/or Background Information, each Party shall com- ply with any and all applicable legal requirements so as to not distort competition in the internal market of the Eu- ropean Union, specifically but not limited to compliance with state aid requirements.

When tranferring rights pertaining to Results and/or Background Information, each Party shall com- ply with any and all applicable legal requirements so as to not distort competition in the internal market of the European Union, specifically but not limited to compli- ance with state aid requirements.
