Partial Shares Clause Samples

The Partial Shares clause defines how fractional or non-whole shares are handled in a transaction or agreement. Typically, this clause outlines whether partial shares will be issued, rounded up or down, or settled in cash instead of actual shares. For example, if a stock split or dividend results in a shareholder being entitled to a fraction of a share, the clause will specify the method for addressing this situation. Its core function is to ensure clarity and fairness in the treatment of partial shares, preventing disputes and administrative complications that could arise from fractional entitlements.

If you want to transfer the securities in your Account to another financial services firm, and the receiving firm does not accept partial shares, we will transfer your whole shares. Partial shares will be sold in the next window after we receive your complete transfer instructions. The money from these partial share sales will be deposited in your Account and transferred according to the transfer instructions.
