The Partial Shipments clause allows a seller to deliver goods in multiple separate shipments rather than all at once. In practice, this means that if an order cannot be fulfilled in a single delivery—due to inventory, logistics, or production constraints—the seller can send portions of the order as they become available. This clause is particularly useful in large or complex transactions where fulfilling the entire order at once is impractical, and it helps ensure that the buyer receives goods as soon as possible, rather than waiting for the complete order to be ready.

Partial Shipments. Company agrees to accept partial shipments and to pay for Product comprising of a partial shipment, provided, however, that Cypress shall only submit an invoice for Product that it has shipped, unless otherwise agreed to in writing by the parties.
