PAYMENT AND CONSIDERATION. 3.1 In consideration of the Vendor’s transfer of the Business to the Purchaser on the terms of this Agreement, the Purchaser shall pay to the Vendor the sum of £1,200,000 (British pounds sterling) on the Effective Date. 3.2 The Vendor and Purchaser agree that the payment referred to in Article 3.1 shall be apportioned as set out in Schedule 1.
