Payment Reductions. In the event that Arbor breaches its obligations under Section 6(a) above during the first two years immediately following the Effective Date, Comshare may elect to terminate this Agreement, and the amounts payable to Arbor hereunder shall be reduced by * percent and all minimum payment requirements shall be eliminated. In the event that Arbor acts in the manner described in Section 6(a) after a date two years from the Effective Date of this agreement, such act shall not be a breach of this Agreement, but the payments due to Arbor defined as Eligible Minimum Fees shall be reduced by * percent, the minimum payments under Sections 5(d) shall be eliminated, and the exclusivity minimum payments under Section 5(e) shall be reduced by * percent. * Indicates that material has been omitted and confidential treatment has been requested therefore. All such omitted material has been filed separately with the SEC pursuant to Rule 24b-2.
