Payments Assigned. As set forth in Section 5.1 hereof, it is understood and agreed that this Agreement and all payments made by Company pursuant to this Agreement (except payments pursuant to Section 5.1(b) or (c) or pursuant to Section 8.2 hereof) are assigned by Issuer to Trustee. Company assents to such assignment and hereby agrees that, as to Trustee, Paying Agent, the Market Agent, the Auction Agent and Tender Agent, as applicable from time to time, its obligation to make such payments shall be absolute, irrevocable and unconditional and shall not be subject to cancellation, termination or abatement or to any defense or any right of set-off, counterclaim or recoupment arising out of any breach by any party, whether hereunder or otherwise, or out of any indebtedness or liability at any time owing by any party. Except as provided above, Issuer hereby directs Company and Company hereby agrees to pay to Trustee, Paying Agent, the Market Agent, the Auction Agent, Bond Registrar or Tender Agent, as appropriate, all said payments payable by Company pursuant to Section 5.l of this Agreement.
Payments Assigned. The Borrower consents to the assignment of the rights of the Authority assigned under this Agreement to the Trustee and agrees to pay to the Trustee all amounts payable by the Borrower pursuant to the Basic Documents, except for amounts payable directly to the Authority and others pursuant to Sections 8.5 and 8.6 of this Agreement.
Payments Assigned. The Company consents to the assignment made by the Indenture of the Note and of the rights of the Issuer under this Financing Agreement to the Trustee and agrees to pay to the Trustee all amounts payable by the Company pursuant to the Note and this Financing Agreement, except for payments made to the Issuer pursuant to Sections 4.1(b)(2) and 5.6.
Payments Assigned. It is understood and agreed that the Notes and all payments thereon, as well as the Issuer’s rights under this Loan Agreement, except the Issuer’s Unassigned Rights, are assigned by or in accordance with the Indenture to the Trustee. The Company consents to such assignment and, subject to the terms of this Loan Agreement, agrees to pay to the Trustee all amounts payable by the Company to the Issuer pursuant to the Notes and this Loan Agreement (except as aforesaid). The Issuer consents to such payment by the Company and directs that all such amounts be paid directly to the Trustee.

Payments Assigned. The City, under the Bond Purchase Agreement and the Assignment, has assigned the City’s rights, title, and interest in the Pledged Receipts to the Purchaser, and the Company hereby consents to such assignment. All payments by the Company constituting Pledged Receipts under this Lease Agreement shall be in lawful coin or currency of the United States of America in immediately available funds. The Company further agrees to make all payments hereunder directly to the Servicing Agent, for the account of the City, to be deposited in the Bond Fund (or if the Servicing Agent is the Purchaser, directly to the Purchaser), and to make all payments required to be made under Section 7.02 hereof directly to the City. All such payments, if agreed to by all parties, may be made by appropriate intercompany accounting entries.
