Pending or Threatened Proceedings. So far as the Seller is aware, no dispute, claim, legal action, proceeding, suit, litigation, prosecution, investigation, enquiry or arbitration which claim exceeds US$250,000 is pending or threatened by or against any member of the Group or any other member of the Retained Group in relation to the business carried on by the Group.
