Perfection Certificates and UCC Search Results. The Administrative Agent shall have received from each Borrower either (i) a completed and fully executed Perfection Certificate or (ii) a certificate stating that the Perfection Certificate previously delivered by such Borrower is true, accurate and complete as of the Closing Date and the results of UCC searches with respect to the Collateral, indicating no liens other than Permitted Liens and otherwise in form and substance satisfactory to the Administrative Agent.
