PERFORMANCE ACTIVITIES. 4.1 Brocade shall establish, implement and maintain a comprehensive quality assurance program to ensure the consistent supply of Products that meet the requirements specified in the Agreement and this Attachment. Details of the program shall be made available to Sequent upon request and Sequent has the right to survey and audit the program. Sequent will provide a minimum of two (2) weeks notice prior to any planned survey or audit. 4.2 Brocade shall have a documented system to ensure a consistent supply of materials used for the assembly of Products. This system shall maintain procedures for incoming inspection per category of material and procedures outlining the qualification of new materials suppliers. 4.3 Brocade shall have a formally documented manufacturing process and quality control system. Brocade shall also maintain established intervals for preventive maintenance of manufacturing equipment. 4.4 Brocade shall have a documented system to ensure continued accuracy of measurement equipment in manufacturing. Measuring equipment shall be 28 calibrated at established intervals against certified standards that have valid relationships to national standards. 4.5 Brocade shall have an established program for statistical process control ("SPC")
PERFORMANCE ACTIVITIES. The Supplier is to state in its response any experience it has with each activity and exactly how it plans to complete all activities of this section, providing detailed information and stating affirmatively its understanding of the activities. 4.1 Provide at least three op-ed placements per month. 4.2 Compose at least two speeches per month. 4.3 Complete at least 10 media bookings per month. 4.4 Provide public relations consultation for education-related activities on an as- needed basis.
PERFORMANCE ACTIVITIES. The Company hereby engages the Service Provider, and the Service Provider accepts such engagement, to, on a non-exclusive basis, generate sales of the Products (the “Performance Activities”). Without limiting the foregoing, the Performance Activities will include (i) developing sales and pricing strategies for the Products, (ii) advising on the creation of marketing materials, (iii) advising on the creation and implementation of promotional activities, (iv) developing target lists of sales prospects and (v) making sales calls to customers and prospective customers. The Company shall have sole discretion over (i) products pricing and other sales terms, (ii) any other customer decisions (including decisions whether to sell to particular customers and the quantities to be sold), (iii) production decisions, including products formulations, products manufacturers and quantities produced, (iv) any other decisions that require the expenditure of funds by the Company, including marketing and promotional activities and (v) any action or omission that the Company determines might be injurious to its brand or reputation.

  • Performance Expectations The Charter School’s performance in relation to the indicators, measures, metrics and targets set forth in the CPF shall provide the basis upon which the SCSC will decide whether to renew the Charter School’s Charter Contract at the end of the charter term. This section shall not preclude the SCSC from considering other relevant factors in making renewal decisions.

  • Performance Excused The Affected Party, to the extent rendered unable to perform its obligations or part thereof under this Agreement as a consequence of the Force Majeure Event shall be excused from performance of the obligations. Provided that, the excuse from performance shall be of no greater scope and of no longer duration than is reasonably warranted by the Force Majeure Event. Provided further, nothing contained herein shall absolve the Affected Party from any payment obligations accrued prior to the occurrence of the underlying Force Majeure Event.

  • Performance Monitoring ‌ A. Performance Monitoring of Subrecipient by County, State of California and/or HUD shall consist of requested and/or required written reporting, as well as onsite monitoring by County, State of California or HUD representatives. B. County shall periodically evaluate Subrecipient’s progress in complying with the terms of this Contract. Subrecipient shall cooperate fully during such monitoring. County shall report the findings of each monitoring to Subrecipient. C. County shall monitor the performance of Subrecipient against the goals, outcomes, milestones and performance standards required herein. Substandard performance, as determined by County, will constitute non-compliance with this Contract for which County may immediately terminate the Contract. If action to correct such substandard performance is not taken by Subrecipient within the time period specified by County, payment(s) will be denied in accordance with the provisions contained in this Paragraph 47 of this Contract. D. HUD in accordance with 24 CFR Part 570 Subpart O, 570.902, will annually review the performance of County to determine whether County has carried out its Community Development Block Grant (CDBG) assisted activities in a timely manner and has significantly disbursed CDBG funds and met the mandated “1.5 ratio” threshold. Subrecipient is responsible to ensure timely drawdown of funds.

  • Performance Reviews Supplier will perform a minimum of one review with Sourcewell per agreement year. The review will cover transactions to Participating Entities, pricing and terms, administrative fees, sales data reports, performance issues, supply chain issues, customer issues, and any other necessary information.

  • Performance Targets Threshold, target and maximum performance levels for each performance measure of the performance period are contained in Appendix B.
