Common use of Performance by Affiliates Clause in Contracts

Performance by Affiliates. Notwithstanding any provision to the contrary set forth in this Agreement, either Party will have the right to perform any or all of its obligations and exercise any or all of its rights under this Agreement through any Affiliate. Each Party hereby guarantees the performance by its Affiliates of such Party’s obligations under this Agreement and will cause its Affiliates to comply with the provisions of this Agreement in connection with such performance.

Performance by Affiliates. Notwithstanding any provision to the contrary set forth in this Agreement, either Each Party will shall have the right to perform any or all of its obligations and exercise any or all of its rights under this Agreement through any Affiliate. Each Party hereby guarantees the performance by and perform its Affiliates of such Party’s obligations under this Agreement and will either itself or through any of its Affiliates. To the extent that this Agreement imposes obligations on Affiliates of a Party, such Party agrees to cause its Affiliates to comply with the provisions of this Agreement in connection with perform such performanceobligations.

Each Party hereby guarantees will remain responsible and primarily and fully liable for the performance of any activities performed by its Affiliates of such Party’s obligations under Affiliates as contemplated by this Agreement and will cause its Affiliates to comply for such Affiliates’ compliance with the provisions terms of this Agreement in connection with such performanceAgreement.

Each Party’s Affiliates will have the benefit of all rights (including all licenses) of such Party under this Agreement.
