Performance of Job Duties. Employee shall be the Chief Financial Officer of the Company, and shall perform the services and duties customary for that position, all subject to the general supervision of the Board of Directors of the Company. Employee shall also perform such services and duties with respect to Associated Companies as may be assigned to him by the Company's Board of Directors, so long as such services and duties are consistent with his position as a senior executive officer of the Company. Among other things, Employee shall have general supervision over all of the financial matters of the Company and with respect to its Subsidiaries. Employee shall devote all of his skill, time, attention, and best efforts to furthering the Company's businesses, affairs, interests and welfare.

Bargaining unit employees shall not be regularly required to perform functions outside of their job description. If required for operational needs, however, employees agree to perform non-job services on an as-needed and temporary basis.

Performance of Job Duties. Employee is employed as a full time employee of the Company for the term of this Agreement. Employee will be assigned as the Senior Vice President & General Manager of the Company’s TracPipe® flexible gas piping division, to perform such duties and services as are described in Exhibit A attached hereto and incorporated herein by reference. Employee’s title is subject to the formal ratification of the Company’s Board of Directors. During the term of this Agreement, Employee shall devote his full time and attention and his best efforts to the conduct of the business of the Company and the performance of his duties under this Agreement, and shall not engage in any other business activity; provided that Employee shall not be prevented from investing his personal assets in such manner as will not require significant services on the part of Employee. Employee specifically acknowledges and agrees that he will be required to spend significant periods of time at, and travel to and work at the offices of the Company in Exton, Pennsylvania for the first year of the term of this Agreement. Employee further agrees that he will relocate his personal residence to the Exton, Pennsylvania area within 1 year after the Effective Date, and the Company shall provide a relocation transition payment to Employee in connection with such relocation.

Employee shall devote all of his skill, time, attention, and best efforts to furthering the Company's businesses, affairs, interests and welfare.

Related to Performance of Job Duties

  • Performance of Duties Each of the Credit Party’s obligations under this Agreement and each of the other Loan Documents shall be performed by such Credit Party at its sole cost and expense.

(b) Subject to the terms and conditions set forth in this Agreement, Employee shall devote his full business time, attention, and efforts to the performance of his duties under this Agreement and shall not engage in any other business or occupation during his employment with the Company pursuant to this Agreement, including, without limitation, any activity that (x) conflicts with the interests of the Company or its subsidiaries, (y) interferes with the proper and efficient performance of his duties for the Company, or (z) interferes with the exercise of his judgment in the Company’s best interests. Notwithstanding the foregoing, nothing herein shall preclude Employee from (i) serving, with the prior written consent of the Board, as a member of the board of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses and charitable organizations, (ii) engaging in charitable activities and community affairs, and (iii) subject to the terms and conditions set forth in Section 10 hereof, managing his personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii) and (iii) shall be limited by Employee so as not to materially interfere, individually or in the aggregate, with the performance of his duties and responsibilities hereunder.
