Performance of the Activity. The Recipient must: (a) commence the Activity by the Activity Commencement Date; (b) carry out the Activity in accordance with this agreement and with due care and skill; (c) carry out the Activity in accordance with the Approved Project Plan and the Application; (d) meet each of the Milestones; (e) complete the Activity by the Activity End Date; (f) provide the Recipient’s Contribution for the purposes of the Activity; (g) ensure that each Partner provides that Partner’s Contribution for the purposes of the Activity; (h) ensure that each Partner complies with the terms and conditions of this agreement relevant to the Partner’s performance of the Activity. (i) maintain the Recipient’s eligibility under the Guidelines during the Term; (j) ensure each Partner maintains its eligibility under the Guidelines during the Term; (k) not do anything or become involved in any situation which, in the reasonable opinion of the Department, reflects unfavourably upon the State of Queensland and/or the Activity; (l) comply with: (i) the terms and conditions of this agreement; (ii) the Guidelines; (iii) applicable Laws (including obtaining and maintaining any licence or authorisation required for the Recipient to carry out the Activity) and the Standards (if any); (iv) standards of professional care and diligence of the industry to which the Recipient belongs; and (v) the Department’s reasonable requests, directions and requirements, to the Department’s satisfaction; and (m) communicate with, report and provide information to the Department’s Contact as reasonably required by the Department.
Performance of the Activity. ‌ (a) The Customer must carry out the Activity in accordance with this Contract, including designing and constructing the CWW Assets in accordance with SCHEDULE 3. (b) Without limitation to the Customer’s obligations under the Applicable OMA, the Activity must be carried out for the term of the Applicable OMA.‌
Performance of the Activity. The Recipient must: (a) commence the Activity by the Activity Commencement Date; (b) carry out the Activity in accordance with this deed and with due care and skill; (c) not vary the Activity without obtaining the Department’s prior written consent; (d) meet each Milestone; (e) carry out the Activity using the Key Personnel; (f) complete the Activity by or before the Activity End Date; (g) provide the Recipient’s Contribution for the purposes of the Activity; (h) not do anything or become involved in any situation which, in the reasonable opinion of the Department, offends public opinion or reflects unfavourably upon the State of Queensland and/or the Activity; (i) comply with: (i) the terms and conditions of this deed, including the Standards (if any); (ii) applicable laws and regulations (including obtaining and maintaining any licence or authorisation required for the Recipient to carry out the Activity); and (iii) the Department’s reasonable requests, directions and requirements, to the Department’s satisfaction; and (j) communicate with, report and provide information to the Department’s Contact Officer as reasonably required by the Department.

  • Performance of the Work The Contractor shall perform all of the Work required for the complete and prompt execution of everything described or shown in, or reasonably implied from the Contract Documents for the above referenced Project.

  • Performance of the Agreement 1.1 After consideration and evaluation of the CONTRACTOR’s proposal, the County hereby engages CONTRACTOR to provide the services set forth in RFP #10800 and in this AGREEMENT on the terms and conditions contained herein and in RFP #10800. All work performed under this AGREEMENT that is required by law to be performed or supervised by licensed personnel shall be performed in accordance with such licensing requirements. 1.5.1 CONTRACTOR must maintain all licenses throughout the term of the AGREEMENT. 1.6 CONTRACTOR shall furnish, at its own expense, all materials, equipment, and personnel necessary to carry out the terms of this AGREEMENT, except as otherwise specified in this AGREEMENT. CONTRACTOR shall not use County premises, property (including equipment, instruments, or supplies) or personnel for any purpose other than in the performance of its obligations under this AGREEMENT.

  • Performance of the Company The Company shall have performed, satisfied and complied in all material respects with all covenants, agreements and conditions required by this Agreement and the Registration Rights Agreement to be performed, satisfied or complied with by the Company at or prior to the Commencement. The Company shall deliver to the Investor on the Commencement Date the compliance certificate substantially in the form attached hereto as Exhibit C (the “Compliance Certificate”).

  • Performance of Services The Contractor is responsible for fully meeting all obligations set forth in the Contract and for providing Product in accordance with the Contract or any Authorized User Agreement.
