Period of Secondment. ETRN will second, or cause to be seconded, the Seconded Employees to the applicable Owner starting on the Effective Date and continuing, during the period (and only during the period) that the Seconded Employees are performing Services for such Owner, until the earlier of: (a) the end of the term of this Agreement; (b) such end date for any Seconded Employees as may be mutually agreed by ETRN and the applicable Owner (the “End Date”); (c) a withdrawal, departure, resignation or termination of such Seconded Employees under Section 3.3; or (d) a termination of Secondment of such Seconded Employees under Section 3.4. The period of time that any Seconded Employee is provided by ETRN to an Owner is referred to in this Agreement as the “Period of Secondment.” At the end of the Period of Secondment for any Seconded Employee, such Seconded Employee will no longer be subject to the direction by such Owner of the Seconded Employee’s day-to-day activities. The Parties acknowledge that certain of the Seconded Employees may also provide services to the ETRN Group in connection with operations conducted by the ETRN Group (“Shared Seconded Employees”) and the Parties intend that such Shared Seconded Employees shall only be seconded to the applicable Owner during those times that the Shared Seconded Employees are performing Services for such Owner hereunder.
Period of Secondment. Admin will second, or cause its applicable Affiliate (such affiliate, a “Seconding Affiliate”) to second, to the General Partner the Provided Personnel on the Effective Date and continuing, during the period (and only during the period) that the Provided Personnel are performing services for the General Partner, until the earlier of: (a) the end of the term of this Agreement; (b) such end date as is mutually agreed in writing by Admin and the General Partner; (c) a withdrawal, departure, resignation or termination of such Provided Personnel under Section 2.3; or (d) a termination of Secondment of such Provided Personnel under Section 2.4. The period of time that any Provided Personnel is provided by Admin to the General Partner is referred to in this Agreement as the “Period of Secondment.” At the end of the Period of Secondment for any Provided Personnel, such Provided Personnel will no longer be subject to the supervision, control or direction of the General Partner. Admin and the General Partner acknowledge that certain of the Provided Personnel may also provide services to Admin and its Affiliates in connection with their respective operations unrelated to the General Partner (“Shared Provided Personnel”), and Admin and the General Partner intend that such Shared Provided Personnel shall only be seconded to the General Partner during those times that the Shared Provided Personnel are performing services for the General Partner hereunder.
Period of Secondment. Chesapeake Management will second to the General Partner each Seconded Employee on the start date set forth on the Seconded Employee Schedule and continue to second, during the period (and only during the period) that the Seconded Employee is performing services for the General Partner, until the earliest of: (a) the end of the term of this Agreement in accordance with Section 6.1; (b) the end date, if any, set forth for the Seconded Employee on the Seconded Employee Schedule (or another end date for such Seconded Employee as mutually agreed in writing by the Parties) (the “End Date”); (c) a withdrawal from the Secondment or resignation or termination of employment with respect to such Seconded Employee; (d) six (6) months (or such earlier date as may be determined by the General Partner in its sole discretion) following the date on which Chesapeake Midstream Holdings, L.L.C. or its affiliates ceases to own at least 25 percent of the issued and outstanding voting equity of Chesapeake Midstream Ventures, L.L.C. and the General Partner has entered into satisfactory arrangements which it determines, in good faith, will provide it with suitable qualified and experienced full-time or seconded employees necessary to operate, manage and maintain the Business; or (e) a termination of Secondment for such Seconded Employee by the General Partner under Section 2.4. At the end of the Period of Secondment for any Seconded Employee, such Seconded Employee will no longer be subject to the direction of the General Partner with regard to the Seconded Employee’s day-to-day activities unless such individual thereafter otherwise becomes employed by the General Partner.
Period of Secondment. O&M will second, or cause its applicable seconding Affiliate to second, to MLP GP such Provided Personnel on the start date set forth on the Provided Personnel Schedule and continuing, during the period (and only during the period) that the Provided Personnel are performing Services for MLP GP, until the earlier of: (a) the end of the term of this Agreement; (b) the end date set forth for the Provided Personnel on the Provided Personnel Schedule (or another end date for such Provided Personnel as mutually agreed in writing by the Parties) (the “End Date”); (c) a withdrawal, departure, resignation or termination of such Provided Personnel under Section 3.3; or (d) a termination of Secondment of such Provided Personnel under Section 3.4. The period of time that any Provided Personnel is provided by O&M to MLP GP is referred to in this Agreement as the “Period of Secondment.” As of the End Date, such Provided Personnel will no longer be subject to the direction by MLP GP of the Provided Personnel’s day-to-day activities. The Parties acknowledge that certain of the Provided Personnel may also provide services to Cheniere Energy, Inc. and its Affiliates in connection with their respective operations, including other services provided to MLP GP and its Affiliates (“Shared Provided Personnel”), and the Parties intend that such Shared Provided Personnel shall only be seconded to MLP GP during those times that the Shared Provided Personnel are performing Services for MLP GP hereunder.

The Parties acknowledge that the Seconded Employees may also perform functions for Hess in connection with its operations and the Parties intend that the Seconded Employees shall be seconded to the General Partner only during those times that the Seconded Employees are performing functions for the General Partner hereunder.
Period of Secondment. Service Provider will second to Owner each Seconded Employee, during the period that the Seconded Employee is performing Owner Employee Services for Owner, until the earliest of: (a) the end of the term of this Agreement in accordance with Section 5.4; (b) a separation of employment from the Service Provider with respect to such Seconded Employee; (c) a termination of Secondment for such Seconded Employee by Owner under Section 2.4; or (d) the date on which HoldCo ceases to own, directly or indirectly, the general partner of Owner. At the end of the Period of Secondment for any Seconded Employee, such Seconded Employee will no longer be subject to the direction of Owner with regard to the Seconded Employee’s day-to-day activities unless such individual thereafter otherwise becomes employed by Owner and not by Service Provider or its Affiliates.
Period of Secondment. Company will second to MLP GP each Seconded Employee on the start date set forth on the Seconded Employee Schedule and continue to second, during the period (and only during the period) that the Seconded Employee is performing services for MLP GP, until the earliest of: (a) the end of the term of this Agreement; (b) the end date, if any, set forth for the Seconded Employee on the Seconded Employee Schedule (or another end date for such Seconded Employee as mutually agreed in writing by the Parties) (the “End Date”); (c) a withdrawal, departure, resignation or termination of such Seconded Employee under Section 1.3; (d) the date on which Quicksilver Gas Holdings LLC ceases to own a majority of the issued and outstanding voting common equity capital of MLP GP and MLP GP has entered into satisfactory arrangements which in good faith MLP GP determines will provide MLP GP with suitable qualified and experienced full-time or seconded employees necessary to operate, manage and maintain the Cowtown Assets; and (e) a termination of Secondment for such Seconded Employee under Section 1.4. At the end of the Period of Secondment for any Seconded Employee, such Seconded Employee will no longer be subject to the direction of MLP GP with regard to the Seconded Employee’s day-to-day activities.

At the end of the Period of Secondment for any Seconded Employee, such Seconded Employee will no longer be subject to the supervision of SEP with regard to the Seconded Employee’s day-to-day activities pursuant to Section 2.4 unless such individual thereafter otherwise becomes employed by SEP.
Period of Secondment. 2.1 This Agreement will commence on (Insert commencement date) and will continue until (Insert agreed termination date), unless earlier terminated in accordance with the provisions of paragraph 7 of this Agreement, or extended through negotiation and agreement.
