POI Thresholds Clause Samples

The POI Thresholds clause establishes specific minimum or maximum points of interest (POI) that must be met for certain contractual obligations or actions to be triggered. In practice, this might mean that a party is only required to perform or deliver if a certain number of POIs are identified, or that additional compensation is due if thresholds are exceeded. This clause ensures that both parties have clear, quantifiable benchmarks, reducing ambiguity and helping to allocate risk by defining when obligations become enforceable.
POI Thresholds a. When the total volume of traffic exchanged between the Parties at a CenturyLink End Office exceeds 200,000 MOU per month, or the one-way traffic from either Party exceeds 100,000 MOU per month, CLEC must establish a POI with CenturyLink’s End Office for the mutual exchange of traffic within thirty (30) Days of when the traffic exceeds the MOU per month threshold. In situations where CenturyLink’s network contains host and Remote Switches, any traffic from Remote Switches will be included in the MOU determination of the traffic from the host End Office. b. Notwithstanding any other provision to the contrary, if either Party is assessed transiting costs by a third party and such charges between the Party and the Tandem owner exceed five-hundred dollars ($500.00) for one month, CLEC must establish a POI with CenturyLink’s End Office for the mutual exchange of traffic within thirty (30) Days.
POI Thresholds a. When the total volume of traffic exchanged between the Parties at a CenturyLink End Office exceeds three (3) DS1s per month, CLEC must establish a POI with or order DTT pursuant to Section 66.2.8 from their POI at a CenturyLink Tandem Switch in the LATA to CenturyLink’s End Office for the mutual exchange of traffic within thirty (30) Days of when the traffic exceeds the MOU per month threshold. In situations where CenturyLink’s network contains host and remote End Offices, any traffic from Remote Switches will be included in the MOU determination of the traffic from the host End Office b. Notwithstanding any other provision to the contrary, if either Party is assessed transiting costs by a third party and such charges associated with a single traffic exchange route between the Party and the Tandem owner exceed five hundred dollars ($500.00) for one month, CLEC must establish a POI or order DTT pursuant to Section 66.2.8 from their POI at a CenturyLink Tandem Switch in the LATA to CenturyLink’s End Office for the mutual exchange of traffic within thirty (30) Days notification from CenturyLink.

In situations where CenturyLink’s network contains host and remote End Offices, any traffic from remote End Offices will be included in the MOU determination of the traffic from the host End Office. b. Notwithstanding any other provision to the contrary, if either Party is assessed transiting costs by a third party and such charges associated with a single traffic exchange route between the Party and the Tandem owner exceed two hundred dollars ($200.00) for one month, CLEC must establish a POI with CenturyLink’s End Office for the mutual exchange of traffic within thirty (30) Days of CenturyLink’s written notice.

In situations where Brightspeed’s network contains host and Remote Switches, any traffic from Remote Switches will be included in the MOU determination of the traffic from the host End Office. b. Notwithstanding any other provision to the contrary, if either Party is assessed transiting costs by a third party and such charges between the Party and the Tandem owner exceed five-hundred dollars ($500.00) for one month, CLEC must establish a POI with Brightspeed’s End Office for the mutual exchange of traffic within thirty (30) Days.

In situations where CenturyLink’s network contains host and Remote End Offices, any traffic from Remote End Offices will be included in the MOU determination of the traffic from the host End Office. b. In situations where CenturyLink’s network contains host and remote End Offices, any traffic from remote End Offices will be included in the MOU determination of the traffic from the host End Office.

  • Threshold Neither the Seller nor the Purchaser shall be required to make any indemnification payment pursuant to Section 8.1 or 8.2, respectively, until such time as the total amount of all Damages that have been directly or indirectly suffered or incurred by an Indemnified Party, or to which an Indemnified Party has or otherwise becomes subject to, exceeds $50,000 in the aggregate. At such time as the total amount of such Damages exceeds $50,000 in the aggregate, the Indemnified Party shall be entitled to be indemnified against the full amount of such Damages (and not merely the portion of such Damages exceeding $50,000).
