Common use of Position and Responsibilities Clause in Contracts

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Vice President, Treasurer and General Counsel of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Vice President, Treasurer and General Counsel President of Loan Administration of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Agreement Executive agrees to shall serve as Senior Vice President, Treasurer Chief Financial Officer and General Counsel Treasurer, and Executive accepts such employment, subject to the terms and conditions set forth in this Agreement. Executive shall have such duties, responsibilities and powers as are set forth by the Board of Directors of the Bank, the Chief Executive Officer and/or the President of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such capacity carry out that such duties are generally consistent with those as Senior Vice President, Chief Financial Officer and responsibilities reasonably appropriate to that officeTreasurer.

Position and Responsibilities. During the term of this Agreement, Executive agrees to shall serve as Senior Vice President, Treasurer President and General Counsel of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws Chief Financial Officer of the Bank. During Executive will be responsible for the period provided in this AgreementBank’s financial and accounting systems, including developing, recommending, implementing and monitoring financial plans and policies. Executive will also be responsible for monitoring the Bank’s operational and information technology functions and shall perform such executive services for the Bank as may be consistent with her titles and from time to time assigned to her by the Bank’s Board of Directors or the President and Chief Executive Officer of the Bank. Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that officeBank.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Vice President, Treasurer and General Counsel President of Finance of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Executive Vice President, Treasurer and General Counsel President – Commercial Lending of the Bank (the “Executive Position”), and will perform the all duties and will have all powers associated with such position as set forth in any the job description provided to for such Executive Position as established by the Bank, and as may be set forth in the bylaws of the BankEmployer. During the period provided in this term of the Agreement, Executive also agrees to serve, if elected, as an officer and/or director of any subsidiary or affiliate of the Bank Employer and in such capacity carry out such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Executive Vice President, Treasurer President and General Counsel Chief Operations Officer of the Bank or any successor executive position with the Bank that is agreed to and consented by Executive (the “Executive Position”), ) and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that office.

During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that office.

Executive shall have such duties, responsibilities and powers as are set forth by the bylaws Board of Directors of the Bank. During , the period provided in this Agreement, Chief Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate Officer and/or the President of the Bank and in such capacity carry out provided that such duties are generally consistent with those as Senior Vice President and responsibilities reasonably appropriate to that officeChief Credit Officer.

During Executive shall be responsible for asset/liability management, management of the period provided in this Agreement, Executive also agrees to serve, if electedsecurities portfolio and investor relations, as an officer of any subsidiary or affiliate of well as such other duties as are assigned to him from time to time by the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate Chief Executive Officer. Executive shall directly report to that officethe Chief Executive Officer.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Executive Vice President, Chief Financial Officer and Treasurer and General Counsel of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Executive Vice President, Treasurer President and General Counsel Chief Credit Officer of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such that capacity carry out such the duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to shall serve as Senior Vice PresidentPresident and Chief Financial Officer of the Bank. Executive shall have such duties, Treasurer responsibilities and General Counsel powers as are customary and appropriate for such offices, including without limitation, keeping the board of directors of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws "Board") fully informed of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that officehis activities.

Position and Responsibilities. During the term of this Agreement, Agreement Executive agrees to serve as Senior Vice President, Treasurer /Retail Banking and General Counsel Sales of the Bank (the “Executive Position”), and will perform the all duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws description attached hereto as Appendix A. Executive shall report to the President and Chief Executive Officer of the Company and the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Agreement Executive agrees shall continue to serve as Senior Vice PresidentPresident and Chief Financial Officer, Treasurer and General Counsel shall perform such administrative and management services as customarily performed by person in a similar executive capacity and as may be reasonably assigned from time to time by the President and Chief Executive Officer of the Bank and/or the Board of Directors of the Bank (the “Executive PositionBoard”), and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that officeBank.

During the term of this Agreement, Agreement Executive agrees to serve as Senior Vice President, Treasurer and General Counsel Commercial Lending of the Bank (the “Executive Position”)Bank, and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that officeBank.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Executive Vice President, Treasurer and General Counsel Branch Administrator of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Executive Vice President, Treasurer and General Counsel Chief Lending Officer of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in such capacity carry out such duties and responsibilities reasonably appropriate to that office.
