Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply. (a) The Borrower shall establish and thereafter maintain the following committees and units with terms of reference, composition and resources acceptable to the Association: (i) not later than January 31, 2000, a National Committee on Effective Schooling (NCES), to provide policy guidance and general oversight of the Project; (ii) a Project Implementation Unit (PIU) to be responsible for the day-to-day management and implementation of the Project; and (iii) in the case of each of the Selected Provinces, a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals and approve Grants, as the case may be, in favor of Beneficiaries. (b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. The Borrower shall: (a) prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the Project.

The Borrower shall take steps to ensure that: (a) a GTDR shall be established and maintained in each Region, on the basis of a mandate, terms of reference and composition acceptable to the Association, to be responsible for management of the PADR process in the Region; and (iiib) in the case of each of the Selected Provinces, a Provincial Project Implementation Unit (PPIU)) shall be established and maintained in each Province, on the basis of a mandate, terms of reference and composition acceptable to the Association, to be responsible for accounting, financial reporting, procurement and disbursement functions, as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals the management, implementation and approve Grants, as the case may bemonitoring of Subprojects, in favor of Beneficiariesthe Province. (b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 23. The Borrower shall take steps to ensure that: (a) PIU NPIU shall be headed by a national project director, who shall be assisted by a chief technical advisoran administrative and financial management specialist, an accountant, a financial rural development specialist, a procurement officer, a monitoring and evaluation officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinatordirector, who shall be assisted by a lead technical assistantan accountant, a provincial project accountantrural development specialist, a procurement officer, a monitoring and evaluation officer, an agronomist, a producer organization and capacity building specialist, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project coordinator, provincial director, provincial project coordinatorsadministrative and financial management specialist, chief technical advisoraccountant, financial rural development specialist, procurement officer, lead technical assistants monitoring and provincial project accountantsevaluation officer, agronomist, and producer organization and capacity building specialist, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. (b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination and supervision of the Project at the provincial level. 2. Khammouane Province shall take steps to ensure that Nakai District shall maintain, until completion of the Project, including liaison with interested donors: (a) the District Project Steering Committee chaired by the Vice-Governor of Nakai District, and concerned public institutionswhose composition and terms of reference shall be acceptable to the Association, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall to be responsible for the day-to-day implementation overall coordination and general oversight of the activities of the Project at the district level; (b) the Project Office attached to the office of the Vice-Governor of Nakai District, and consisting of suitably qualified and experienced officials in the respective Selected Provinceadequate numbers, including traininga District Project Director, an accountant/book-keeper, a procurement/monitoring officer and a clerk/secretary, to be responsible for day-to-day coordination and management supervision of animators, and implementation, monitoring and evaluation of Subprojects; andthe Project at the district level. 23. The Borrower shall ensure thatKhammouane Province shall: (a) PIU shall be headed by a national project directormaintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, who shall be assisted by a chief technical advisorin accordance with indicators satisfactory to the Association, a financial officer, the carrying out of the Project and other suitably qualified and experienced staff in adequate numbersthe achievement of the objectives thereof; (b) prepare, under terms of reference satisfactory to the Association, and furnish to the Association, not later than May 15 and November 15 of each PPIU shall be headed by a provincial project coordinatoryear, who shall be assisted by a lead technical assistantbeginning on November 15, 1999, a provincial project accountantsemi-annual progress report, integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this paragraph, on the progress achieved in the carrying out of the Project during the six month period preceding the date of said report, and other suitably qualified setting out the measures recommended to ensure the efficient carrying out of the Project and experienced staff in adequate numbersthe achievement of the objectives thereof during the six month period following such date; and (c) review with the positions Association each of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are the reports referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. The Borrower shall: (a) prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; sub-paragraph (b) carry out of this paragraph and, thereafter, take all measures required to ensure the efficient completion of the Project in accordance with procedures set out in and the Project Implementation Plan and Grants Operational Manual, and, except as achievement of the Association shall otherwise agree, shall not amend or waive any provision objectives thereof, if such amendment or waiver may, in based on the opinion conclusions and recommendations of each of the said reports and the Association, materially or adversely affect ’s views on the implementation of the Projectmatter.

The Borrower shall: (a) prepare maintain policies and transmit procedures adequate to the Association for commentsenable it to monitor and evaluate on an ongoing basis, and thereafter adopt in form and substance acceptable accordance with indicators satisfactory to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes carrying out of the Project; and (ii) a Grants Operational Manual, giving details Project and the achievement of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreementsobjectives thereof; (b) carry prepare, under terms of reference satisfactory to the Association, and furnish to the Association, on or about September 30, 2000, a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the Project in accordance with procedures set measures recommended to ensure the efficient carrying out in of the Project Implementation Plan and Grants Operational Manualthe achievement of the objectives thereof during the period following such date; and (c) review with the Association, andby December 31, except 2000, or such later date as the Association shall otherwise agreerequest, shall not amend or waive any provision the report referred to in paragraph (b) of this Section, and, thereafter, take all measures required to ensure the efficient completion of the Project and the achievement of the objectives thereof, if such amendment or waiver may, in based on the opinion conclusions and recommendations of the said report and the Association, materially or adversely affect ’s views on the matter. 2. Throughout the implementation of the Project, the Borrower shall maintain, in a manner and under terms of reference satisfactory to the Association, an ICC, composed by the First Deputy Minister of the MOAWR (as its Chair), the Deputy Minister of Finance, the First Deputy Minister of Environmental Protection, the Advisor to the Department of Agricultural Development of the Office of the Prime Minister, the Deputy Chief of the Donor Cooperation Unit of the Foreign Investment Agency of the State Commission of Foreign Investments and Economic Aid, and the PIU director (as its Secretary). The ICC shall be responsible for reviewing the progress of Project implementation and resolving any general issues related to inter-agency coordination within the framework of the Project. 3. The MOAWR shall be responsible for Project implementation and supervision. The PIU shall be responsible for day-to-day Project administration, management and coordination, including activities related to procurement, accounting, disbursement, auditing, reporting, as well as the identification, preparation, analysis, and selection of proposed Sub-projects, and the monitoring and evaluation of Sub-projects. Throughout the implementation of the Project, the PIU shall be maintained with a sufficient number of qualified staff, consultants, adequate resources and terms of reference satisfactory to the Association.

In carrying out Part A.1 of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower Recipient shall ensure that: (a) PIU prior to the carrying out of works under a Sub-project, a Participation Agreement, acceptable to the Trustee, has been entered into between the Project Manager and the school principal or the District Education Officer of the District where the school is located or such other person as shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officeragreed with the Trustee, and other suitably qualified and experienced staff an implementation plan for the Sub-project has been prepared in adequate numbersaccordance with the provisions of the Project Operations Manual; (b) each PPIU a Sub-grant for a Sub-project shall be headed in an amount to be financed out of the proceeds of the Grant which shall not exceed the sum of $10,000 equivalent, when added to any other amounts financed or proposed to be financed out of the proceeds of the Grant, the foregoing amount being subject to change from time to time as determined by a provincial project coordinatorthe Trustee, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbersconsultation with the Recipient; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, a Sub-grant shall be kept filled at all times by persons having qualifications used to finance expenditures for the acquisition of labor and experience acceptable to materials for the Associationrehabilitation of school buildings. 3. The Borrower shall: (a) prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes In carrying out Part A.3 of the Project; and (ii) a Grants Operational Manual, giving details the Recipient shall take all measures to avoid the acquisition of all procedural arrangements for land or assets of urban or rural dwellers and to avoid the review, appraisal, supervision, and monitoring and evaluation, displacement of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the Projectsaid dwellers.

Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply. 1. The Borrower shall implement Parts A and C of the Project, and cause BM to implement Part B of the Project, in accordance with the Project Implementation Plan, and except as the Association shall otherwise agree, the Borrower shall not amend or waive any provision thereof if, in the opinion of the Association, such amendment or waiver may materially and adversely affect the overall implementation of the Project. In addition, composition and resources acceptable to the AssociationPSC shall be responsible, inter alia, for: (i) not later than January 31, 2000, a National Committee on Effective Schooling (NCES), to provide policy guidance and general oversight appointing the Management Contractor for the carrying out of Part A of the Project; (ii) a assisting the Management Contractor in resolving ambiguities and uncertainties associated with initial start-up of the Grant support scheme; (iii) providing strategic direction of the Project Implementation Unit (PIU) to be responsible and ensuring that the patterns of support for the day-to-day management private sector (by region, size and implementation sector) are consistent with the Project objectives; (iv) authorizing, in consultations with the Association, the reallocation of resources across the various parts of the ProjectProject taking into account the patterns of demand and developmental impact; (v) reviewing and approving all matching grants requests: (vi) costing over $100,000; and (iiivii) from the Recipient firms and the Grantees that have reached a cumulative threshold of $100,000 on prior grant support; (viii) reviewing quarterly reports to ensure that the decisions and processes of the Management Contractor are consistent with the eligibility and monitoring criteria specified in the Project Implementation Plan, and in the event of poor performance on the part of the Management Contractor, in consultation with the Association, taking appropriate remedies; (ix) ensuring proper procurement, disbursement, accounting and financial auditing of the Project; (x) revoking an approval already granted in the event that fraudulent information has been provided within an application; (xi) reviewing appeals for a reversal of the Management Contractor’s decision made by any applicant and bringing these appeals to the attention of the Association for their review; (xii) delegating all approvals for grants below $100,000 to the Management Contractor; (xiii) following operational reviews, at intervals no shorter than six months, preparing proposals justifying changes to the operating directives of the Management Contractor for the Association’s consideration, and upon approval of the Association, sending written recommendations to the Management Contractor as to the ways (if any) in which the case of each of contractor should redirect its efforts; and (xiv) carry out technical audit, every six months for the Selected Provincesfirst eighteen months, a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals and approve Grants, as the case may be, in favor of Beneficiariesannually thereafter. (b) PIU UASP shall provide adequate financial and administrative support to the agencies involved in the implementation of the Project and shall coordinate, and be responsible for, all procurement carried out under the Project. UASP, shall be responsible, subject headed by a Director and supported by staff needed to any policy guidance and general directives that NCES may issue from time to time, for effectively implement the Project. UASP shall: (i) day-to-day coordination provide procurement support to the PSC in the appointment of the Project, including liaison with interested donors, Management Contractor and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation execute the function of technical assistance activities, Credit Administrator as specified in paragraph 9 of Schedule 1 to the Project Agreement; (ii) coordination of obtain the procurement and disbursement activities, and plans from the implementing agencies to ensure sufficient funding in the Project; (iii) preparation promptly disburse funds for eligible expenditures; (iv) process the request of annual replenishment of the special account based on the presentation of the required documentation under the Project; (v) review and quarterly implementation reports transmit all requests for approval to the Association; and work plans(vi) receive from the implementing agencies, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animatorsreview, and implementationtransmit to the PSC, monitoring the Borrower and evaluation of Subprojects; and 2the Association all quarterly progress, audit, mid-term, and implementation completion reports. The Borrower shall ensure thatAnnual Review: (a) PIU The Borrower shall be headed by a national project directorcarry out, who shall be assisted by a chief technical advisorin conjunction with BM, and jointly with the Association, a financial officercomprehensive annual project implementation review aimed at: (i) documenting progress toward objectives; (ii) identifying and resolving obstacles to project implementation; and (iii) adjusting, in agreement with the Association, targets and corresponding programs to reflect progress achieved in the implementation of the Project as of the date of the review, and other suitably qualified and experienced staff in adequate numbers;ensuring responsiveness to changes to effectively achieve the objectives of the Project. The IWG shall be responsible for the day-to-day implementation technical coordination of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2all key public sector reform programs. The Borrower shall ensure that: (a) PIU IWG shall be headed by the Permanent Secretary, CSD, and its membership shall include, inter alia, Deputy Permanent Secretaries, the Director of Policy (CSD), the Accountant-General, and the Commissioner for Local Government. The IWG shall meet at least once a national project directormonth, who and its decisions and recommendations shall be assisted by a chief technical advisorregularly forwarded to the IMTC for consideration at its meetings. 2. Each one of the MDAs shall be primarily responsible for the implementation of the public service reform measures pertaining to the MDA. The respective Permanent Secretaries and Chief Executives shall, a financial officerto that end, be required to (i) specify, promulgate and manage with due diligence and efficiency their respective public reform measures and goals, and other suitably qualified and experienced staff (ii) be individually accountable for progress in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions carrying out of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Associationsaid reform measures. 3. The Borrower shall ensure that stakeholders and other Project beneficiaries participate (through social pacts, service delivery surveys, benchmarking and other appropriate instruments and means) in the definition and assessment of progress attained under the Project. 4. The Borrower shall carry out all training, workshops and study tours under the Project on the basis of programs which shall have been approved by the Association on a quarterly basis and which shall: , inter alia, identify (a) prepare the training, workshops and transmit to the Association for commentsstudy tours envisaged, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in personnel to be trained, (c) the Project Implementation Plan and Grants Operational Manualinstitution which will conduct the training, and, except as (d) the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion duration of the Associationproposed training, materially or adversely affect the implementation and (e) an estimate of the Projectcost.

The PSC shall be chaired by BEPEKA’s Secretary General and shall comprise representatives of BEPEKA’s Training Center, Evaluation, Legal and Public Relations, Research and Development and Auditing Units, and designated representatives of BAPPENAS and the Ministry of Finance. (ib) not later than January 31, 2000, a National Committee on Effective Schooling (NCES), to provide The PSC shall be responsible for providing overall policy guidance and general oversight under the Project. (c) The Secretary General of BEPEKA shall be responsible for: (i) ensuring technical quality of Project activities; (ii) monitoring performance of consultants’ services financed out of the proceeds of the Loan; (iii) supervising the design and implementation of training programs financed out of the proceeds of the Loan; (iv) monitoring the implementation of pilot performance and financial audits approved by the Bank; and (v) monitoring of the upgrading of the MIS. (a) The Borrower shall maintain within the Office of the Secretary General of BEPEKA, until the completion of the Project; (ii) , a Project Implementation Unit project implementation unit (PIU), staffed by qualified and experienced staff in adequate numbers and with functions acceptable to the Bank, as follows: (i) to key staff including: (A) Project Manager, who shall be responsible for the day-to-day management and implementation of Project activities; and (B) Project Treasurer, who shall be responsible for accounting, auditing and preparation of consolidated financial reports required under the Project; and and (iiiii) in the case of each of the Selected Provincesother technical staff, including a Provincial Project Implementation Unit (PPIU)procurement specialist, as well as a Provincial Grants Management Committee to which shall be responsible to review Subproject proposals drawn, if necessary, from other Bureaus and approve Grants, as the case may be, in favor of BeneficiariesUnits within BEPEKA. (b) The PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to timeinter alia, for for: (i) day-to-day coordination management of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, ; (ii) coordination preparation of procurement and disbursement activities, Project reports; and (iii) preparation of annual procurement and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff;disbursement documentation required under the Project. Part B: Implementation Actions (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 31. The Borrower shall: (a) prepare and transmit to the Association for commentscommencing on April 30, 1999, and thereafter adopt annually thereafter, carry out technical audits in form and substance each Fiscal Year, until the completion of the Project in a manner acceptable to the Association: (i) a Bank including an assessment of Project Implementation Planquality assurance, giving details achievement of all implementation Project objectives pursuant to the Performance Indicators, and procurement arrangements, as shall have been agreed with the Association performance under contracts for purposes goods and consultants’ services financed out of the Projectproceeds of the Loan; and (iib) furnish to the Bank for comments, as soon as available, but not later than six months after the end of each such Year, a Grants Operational Manualcopy of such audit. 2. The Borrower shall: (a) maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, giving details in accordance with the Performance Indicators, the carrying out of all procedural arrangements for the review, appraisal, supervision, Project and monitoring and evaluation, the achievement of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreementsobjectives thereof; (b) carry prepare, under terms of reference satisfactory to the Bank, and furnish to the Bank, on or about July 31 of each year until the completion of the Project, a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the Project in accordance with procedures set measures recommended to ensure the efficient carrying out in of the Project Implementation Plan and Grants Operational Manualthe achievement of the objectives thereof during the period following such date; (c) review with the Bank, by October 31 of each year, until the completion of the Project, or such later date as the Bank shall request, the report referred to in subparagraph (b) of this paragraph, and, except as carry out an annual project implementation review to, inter alia: (i) evaluate progress achieved by the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver mayBorrower and BEPEKA, in carrying out the opinion Project; (ii) assess progress in the carrying out of the Association, materially or adversely affect training activities referred to under Part B of the Project; (iii) assess the level of counterpart funding provided by the Borrower for the timely implementation of Project activities during the previous Fiscal Year and review the proposed allocations for the upcoming Fiscal Year; (iv) exchange views on progress achieved in the implementation of the AWP during the previous Fiscal Year and proposed activities for the upcoming Fiscal Year; (v) assess progress achieved by the Borrower in implementing the recommendations of the HAPSEM; (vi) assess progress in developing and implementing BEPEKA’s strategy referr ed to under Part A of the Project; (vii) assess and adjust, if necessary, the Performance Indicators; and (viii) identify any current implementation issues and propose solutions to resolve such issues; (d) at the third annual review, carry out a comprehensive mid-term assessment of Project implementation; and (e) thereafter, take all measures required to ensure the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said reviews and the Bank views on the matter.

The Borrower shall establish and thereafter maintain the following committees and units with maintain: (a) a Cellule de Coordination Nationale des Actions de Lutte Contre le VIH/SIDA (CCN) whose mandate, terms of reference, reference and composition and resources shall be acceptable to the Association, to oversee the development and implementation of the Program, define national priorities and guide the strategic orientation of all multisectoral STI/HIV/AIDS prevention efforts in the Borrower’s territory; and (b) a Bureau de Coordination National (BCN), whose mandate, terms of reference and composition shall be acceptable to the Association, to act as the secretariat of CCN and be responsible, subject to the general guidance and oversight functions of the Cellule, for coordination of all multisectoral STI/HIV/AIDS prevention efforts in the Borrower’s territory, including collection, analysis and dissemination of data and information on ongoing STI/HIV/AIDS activities, and distillation and dissemination of good practices. 2. The Borrower shall: establish and maintain for each Sector a Comité Sectoriel (CS), whose mandate, terms of reference and composition shall be acceptable to the Association, and consisting of public and private sector representatives, to be responsible for the facilitation and development of the sector strategy and related action plan, monitoring and evaluation of pilot Subprojects for the Sector, and coordination of interventions undertaken in the Sector. 3. The Borrower shall establish and maintain: (ia) not later than January 31a Conseil du Projet Multisectoriel de Prévention du SIDA, 2000whose mandate, a National Committee on Effective Schooling (NCES)terms of reference and composition shall be acceptable to the Association, to provide policy guidance and general oversight monitor the implementation of the Project;, ensure its consistency with its development objectives and exercise general oversight functions, including review and approval of the annual work program and budget of UGP, approval of requests for Grants in excess of $100,000, approval of annual technical and financial audits, review and approval of the Project Implementation Manual and Procedures Manual, as well as modifications thereto, evaluation of the performance of UGP and recruitment of the FMA; and (iib) a an Unité de Gestion du Project Implementation Unit (PIU) UGP), whose mandate, terms of reference and composition shall be acceptable to the Association, to be responsible responsible, subject to the general guidance and oversight functions of the Conseil, for the day-to-day management and implementation of the Project; and (iii) in the case of each , including development of the Selected Provincesannual work program and budget, establishment and maintenance of a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals and approve Grants, as the case may be, in favor of Beneficiaries. (b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination of the Project, including liaison with interested donorsfinancial management system, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation oversight of the activities of the Project in the respective Selected ProvinceFMA, including trainingpreparation and production of annual progress reports and financial statements, coordination and management of animators, procurement and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. (b) PIU central level shall be responsiblevested in CIT, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU which shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and maintained within MOE with experienced staff in adequate numbers; . Key staff of CIT shall include the Managers of each of the three (3) MOE Divisions, the Manager of the Community Participation Unit within MOE and the Manager of the Technical Office within MOE. The responsibility for implementation of the Project at the Governorate level shall be vested in the GITs, each of which to be established in the respective Governorate not later than January 1, 2001. Each GIT shall be assisted in the carrying out of its functions by the DEO in the respective Governorate. Each GIT shall prepare an annual work program and related budget for submission to CIT and subsequent consolidation into the reports referred to under paragraph B (b) each PPIU (i) of this Schedule. 3. For purposes of assisting CIT in the implementation of the Project and in order to ensure proper coordination of the carrying out of the Project, the Borrower shall be headed by a provincial project coordinatormaintain CAU, who shall be assisted by a lead technical assistantwithin MOE, a provincial project accountant, and other suitably qualified and experienced with professional staff in adequate numbers; and (c) the positions numbers whose qualifications, experience and terms of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, reference shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. The Borrower shall: CAU shall be responsible, inter alia, for: (ai) prepare the procurement and transmit to disbursement processes under the Association Project; (ii) monitoring Project performance and implementation progress in accordance with the targets and indicators agreed upon with the Association; (iii) preparation, for comments, and thereafter adopt in form and substance acceptable submission to the Association: (i) a Project Implementation Plan, giving details of all implementation annual work programs and procurement arrangements, as shall have been agreed with the Association for purposes of the Projectannual budgets; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the Project.

Karnataka shall establish a high-level committee at the state level, comprising senior representatives of UDD, KUIDFC and KUWSDB, to coordinate sector policy, drive the policy reform process and exercise oversight functions under Part A of the Project. 2. Karnataka shall cause KUIDFC to: (a) The Borrower shall establish and thereafter maintain the following committees and units with a project management unit (PMU), whose mandate, terms of reference, reference and composition and resources shall be acceptable to the Association: (i) not later than January 31Bank, 2000, a National Committee on Effective Schooling (NCES), to provide policy guidance and general oversight of the Project; (ii) a Project Implementation Unit (PIU) to be responsible for the day-to-day management and implementation of the Project; and (iii) in the case of each of the Selected Provinces, a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals and approve Grants, as the case may be, in favor of Beneficiaries. (b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination execution of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation consolidation of annual work programs and quarterly implementation budgets, preparation and production of annual progress reports and work plansfinancial statements, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; andthe Project. 2. The Borrower shall (b) ensure that: (ai) PIU PMU shall be headed by a national project directorProject Director, who shall be assisted by a chief technical advisorFinance Manager, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistantprocurement specialist, a provincial project accountant, social/environmental specialist and other suitably qualified and experienced staff in adequate numbers; and (cii) the positions of national project directorProject Director, provincial project coordinatorsFinance Manager, chief technical advisor, financial officer, lead technical assistants procurement specialist and provincial project accountants, which are referred to in this paragraph, social/environmental specialist shall be kept filled at all times by persons having qualifications and experience acceptable to the AssociationBank. 3. The Borrower shallPursuant to the terms of the Second Karnataka Government Order, Karnataka shall ensure that: (a) prepare for purposes of implementation of Part B.1 of the Project, KUWSDB shall be responsible, on terms and transmit to the Association for comments, and thereafter adopt in form and substance conditions acceptable to the Association: (i) a Project Implementation PlanBank, giving details for the planning, design and construction supervision of all implementation and procurement arrangementsphysical investments and, as shall have been agreed with where appropriate, for the Association for purposes operation of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreementsconstructed facilities; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan for purposes of implementation of Parts A.1 and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation A.2 of the Project, UDD shall be responsible, on terms and conditions acceptable to the Bank, for the design and implementation of UWS reform measures; and (c) pending the establishment of the Karnataka State Urban Water Supply Council, a technical sector policy team attached to KUIDFC, and reporting to UDD, shall be established and thereafter maintained to design and implement state-level UWS reform measures.

The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 31. The Borrower shall: (a) prepare maintain policies and transmit procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with indicators acceptable to the Association for commentsthe carrying out of the Project and the achievement of the objectives thereof; (b) the Borrower shall, within eighteen (18) months after the Effectiveness Date but in any event not later than December 31, 2001, conduct, jointly with the UBOS and thereafter adopt in form and substance acceptable to the Association: (i) , a Project Implementation Plancomprehensive review of the Project. Without limitation upon the generality of the foregoing, giving details of all the review shall, inter alia, cover the implementation and procurement arrangementsmanagement aspects of the Project, as shall have been agreed with implementation procedures, progress made in the Association for purposes carrying out of the Project including the performance and use of technical assistance personnel, the role of national counterpart staff, the status and results of training, reporting, accounting and audit performance, disbursement procedures and the overall sustainability of the Project; and (iic) a Grants Operational Manual, giving details on the basis of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and above review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect take all measures required to ensure the implementation efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said review and the Association’s views on the matter. 2. The Borrower shall take all measures necessary to establish, not later than ˛ sixty (60) days after the Effective Date, a Project Steering Committee (PSC) which shall be responsible for overall coordination and supervision of all Project components. PSC shall be chaired by the Permanent Secretary/Secretary to the Treasury in MoFPED and comprise the Permanent Secretary, Ministry of Local Government; the Permanent Secretary, Ministry of Public Service; the Auditor General; the Chairpersons of the Boards of UBOS and UMI; the Director, Budget, MoFPED; and the Project Coordinator as the Secretary to the PSC. 3. The Borrower shall continue to maintain, until the completion of the Project, a technical committee, which shall report to PSC, to be responsible for Project administration and to be chaired by the Borrower’s Project Task Manager, and whose members shall comprise the managers of each component of the Project and such other members as the Task Manager may designate.

The Borrower shall, not later than February 28, 2003 adopt a Project Implementation Plan, satisfactory to the Bank, which shall ensure that: include, inter alia: (ai) PIU shall be headed by a national project directordescription of the functions, who shall be assisted by a chief technical advisor, a financial officer, responsibilities and other suitably qualified composition of the NEC and experienced staff in adequate numbers; PCT and each of the SCs and the modalities of their relationships; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (cii) the positions criteria and process for the selection of national project directorjoint-programs to be carried out under Part B.1 of the Project; (iii) the criteria and process for the selection of NGOs, provincial project coordinatorsmunicipalities, chief technical advisoruniversities and line ministries where appropriate, to assist in the implementation of Part B of the Project; (iv) procurement rules and procedures; (v) financial officermanagement procedures including record keeping, lead technical assistants monitoring, auditing and provincial project accountants, which are referred to in this paragraph, shall be kept filled at reporting; (vi) performance indicators for all times by persons having qualifications Project components; and experience acceptable to (vii) the Associationprocedures for the monitoring and reporting of Project activities. 3. The Borrower shall ensure thatRecipient shall: (a) PIU throughout the period of implementation of the Project, maintain the National Steering Committee of the Five Million Hectares Re-forestation Program and establish and maintain thereunder the Project Steering Committee with membership acceptable to the Association and with such powers, responsibilities, funds and other resources as shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officernecessary to provide general policy guidance in the implementation of the Project, and ensuring coordination of Project activities with other suitably national initiatives on forestry and on biodiversity conservation, and coordination with other relevant national line agencies; and (b) establish and, throughout the period of implementation of the Project, maintain a Central Project Coordination Unit within the Borrower’s Ministry of Agriculture and Rural Development, to be responsible for, inter alia: (i) the overall administration of, and the consolidation of reports on, Project activities, and for all procurement at the national level; (ii) more specifically, coordination between the Departments of Forestry and Forest Protection in the institutional development activities under Part A of the Project; and (iii) liaison with the Borrower’s national Forest Sector Support Program; said Central Project Coordination Unit to be under the direction of qualified managers, provided with sufficient resources, and experienced staff staffed with competent personnel in adequate numbers, including a Project director, a Project chief accountant, and accounting and procurement staff, with qualifications and experience and under terms of reference acceptable to the Bank. 2. For purposes of Part C of the Project, the Recipient shall establish and, throughout the period of implementation of the Project, maintain the Vietnam Conservation Fund to provide financing for priority biodiversity conservation activities pursuant to the provisions of the Operational Manual for the Vietnam Conservation Fund under the Project Implementation Manual. For this purpose, the Recipient shall establish: (a) a Management Committee with membership and under terms of reference satisfactory to the Bank, to oversee the policy and operations of the Vietnam Conservation Fund, approve sub-grants for eligible Biodiversity Conservation Sub-projects endorsed by the Technical Review Group, and authorize the disbursements of said sub-grants; (b) each PPIU shall be headed by a provincial project coordinatorSecretariat within the Nature Conservation Division of the Forest Protection Department of MARD, who shall be assisted by a lead technical assistantunder the direction of qualified managers, a provincial project accountant, provided with sufficient resources and other suitably qualified and staffed with experienced staff personnel in adequate numbersnumbers including a Project director and a chief accountant; said Secretariat to be responsible for providing support to the Management Committee and for managing the operations of the VCF; all in a manner satisfactory to the Bank; and (c) the positions a Technical Review Group consisting of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to experts in this paragraph, shall be kept filled at all times by persons having conservation-related fields with qualifications and experience acceptable satisfactory to the AssociationBank, drawn from government agencies, research institutions, national and international non-governmental organizations, and a representative of the donors in the partnership supporting the Forest Sector Support Program, to assess biodiversity conservation proposals and make recommendations thereon to the Management Committee. 3. The Borrower Recipient shall: (a) prepare and transmit to , through the Association for commentsCentral Project Coordinating Unit at MARD, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, establish and, except as throughout the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion period of the Association, materially or adversely affect the implementation of the Project, maintain a computerized accounting system acceptable to the Bank; said system to enable it to: (a) classify disbursements under the Project by Project components and sub-components, expenditure categories, sources of fund and location; and (b) record and analyze transactions in the Special Account.

(b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible required for the day-to-day implementation of the activities of the Project in the respective Selected ProvinceProject, including trainingthe preparation of Project reports, coordination the maintenance of consolidated Project accounts, the implementation of procurement activities under International Competitive Bidding and management of animatorsNational Competitive Bidding procedures, and implementation, monitoring and evaluation the provision of Subprojects; andguidance to the Provincial Project Management Units. 2. The Borrower shall ensure thatthat each Project Provincial People’s Committee shall, for purposes of carrying out its Respective Parts of the Project, establish and thereafter maintain: (a) PIU a Provincial Project Steering Committee chaired by a Vice-Chairman of the Provincial People’s Committee and with representatives, inter alia, of the Provincial Agriculture and Rural Development Department, Provincial Land Administration Department, Forest Protection Branch, Provincial Planning and Investment Department, and Provincial Branch of Vietnam Bank for Agriculture and Rural Development, and assigned with such functions and responsibilities, satisfactory to the Association, as shall be required for the coordination and oversight of the implementation of said Project People’s Committee’s Respective Parts of the Project at the Provincial and Commune levels; and (b) a Provincial Project Management Unit, headed by a national project directorManager with qualifications and experience satisfactory to the Association, who shall be assisted by a chief technical advisorwith such functions, a financial officerresponsibilities, funds and other suitably qualified and experienced competent staff in adequate numbers; , satisfactory to the Association, as shall be required to coordinate the day-to-day Project activities under said Project People’s Committee’s Respective Parts of the Project, including preparation of Project reports, maintenance of Project accounts, implementation of procurement activities other than those referred to in paragraph 1 (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountantof this Schedule, and other suitably qualified monitoring and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Associationevaluation. 3. The Borrower shall: (a) prepare and transmit , through MARD, adopt the Project Implementation Manual, satisfactory to the Association for commentsAssociation, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out implement the Project in accordance with procedures set out in such Manual. The Borrower further undertakes not to amend, abrogate or waive the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend Manual or waive any provision thereof, if such amendment or waiver may, in therein without the opinion prior concurrence of the Association, materially or adversely affect the implementation of the Project.

The Borrower shall: (a) prepare maintain policies and transmit procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with the Association for comments, indicators agreed upon between the Borrower and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes carrying out of the Project; and (ii) a Grants Operational Manual, giving details Project and the achievement of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreementsobjectives thereof; (b) carry prepare, under terms of reference satisfactory to the Association, and furnish to the Association on or about January 31, 1999, a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and (c) review with the Association, by February 28, 1999 or such later date as the Association shall request, the report referred to in subparagraph (b) of this paragraph and, thereafter, take all measures required to ensure the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Association’s views on the matter. 2. The Borrower shall implement the Project, in accordance with the procedures set out in the Project Implementation Plan and Grants Operational ManualManual of Procedures, and, except as the Association shall otherwise agree, the Borrower shall not amend or waive any provision thereof, if such amendment or waiver maythereof if, in the opinion of the Association, such amendment or waiver may materially or adversely affect the implementation of the Project. (a) The Borrower shall maintain, until completion of the Project, the Project Steering Committee chaired by the Permanent Secretary and Head of Public Service, Office of the President. PSC shall be responsible for providing overall policy guidance for Project implementation. Unless the Association shall otherwise agree, PSC shall include as members the: (i) three Permanent Secretaries of the Office of the President, (ii) Permanent Secretaries of the following ministries: Public Works and Housing, Local Government, Water Development, Health and Finance; (iii) a Project Manager (who shall also be the Secretary of PSC); (iv) a Procurement Advisor; and (v) a Financial Advisor. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbersguidance to the higher education institutions implementing Sub-projects; and (c) the positions of national project directora Proposal Assessment Unit, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times headed by persons having a Manager with qualifications and experience acceptable satisfactory to the Association, with such functions, responsibilities and resources, satisfactory to the Association, and with competent staff in adequate numbers, as shall be required for assessing the eligibility and conformity of, ranking the applications for, and making recommendations on, the award of Quality Improvement Grants to higher education institutions, all in accordance with the provisions of Schedule 6 to this Agreement and the Operational Manual. 2. For purposes of carrying out Part B of the Project, the Borrower shall, through MOET: (a) adopt an operational manual, satisfactory to the Association, which shall include implementation responsibilities, procedures, guidelines and criteria for the selection of QIG Grantees and the awarding of Quality Improvement Grants (the Operational Manual); and (b) thereafter implement such Part of the Project in accordance with such Manual and with the selection criteria, procedures and terms and conditions set forth in Schedule 6 to this Agreement, in a manner satisfactory to the Association. The Borrower further undertakes not to amend, abrogate or waive the Operational Manual or any provision therein without the prior concurrence of the Association. 3. The To assist the PCU in carrying out its responsibilities relating to Project management and implementation, finance and procurement, the Borrower shall: (a) prepare and transmit to , through MOET, retain the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details services of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project consultants in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manualprovisions of Section II, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion Part B of the Association, materially or adversely affect the implementation of the ProjectSchedule 3 to this Agreement.

The Borrower shall, not later than June 30, 1999, establish a national unit for the operation of a coral reef surveillance and enforcement system, headed by the Directorate General of Fisheries in the Borrower’s Ministry of Agriculture, with competent staff in adequate numbers, which shall ensure thatbe responsible, in cooperation with other relevant agencies of the Borrower and under the guidance of the national COREMAP Steering Committee, for: (a) PIU issuing guidelines on coral reef surveillance to the surveillance and enforcement field units; (b) carrying out the surveillance and enforcement training under Part C. 3 of the Project; and (c) carrying out data analyses to monitor the effectiveness and impact of field surveillance units on the reduction of destructive practices on reefs. 3. The Borrower shall be headed by a national project directorestablish, who shall be assisted by a chief technical advisornot later than June 30, a financial officer1999, and other suitably qualified and experienced surveillance units at the Provincial Fisheries Offices (Dinas Perikanan Tk. I), with competent staff in adequate numbers, under the guidance of the provincial COREMAP Steering Committee, in the following provinces: (a) in the Province of Maluku, to coordinate the activities of village reef watchers and surveillance efforts in the Lease Islands; (b) each PPIU shall be headed by a provincial project coordinatorin the Province of Sulawesi Selatan, who shall be assisted by a lead technical assistantto operate coral reef surveillance patrols, a provincial project accountantincluding aerial surveillance patrols, at Taka Bone Rate in cooperation with the Borrower’s park conservation unit, Navy units and Police units, and other suitably qualified and experienced staff in adequate numbersshall coordinate the activities of village reef watchers; and (c) in the positions Province of national project directorIrian Jaya, provincial project coordinatorsto operate coral reef surveillance patrols in the Padaido Islands, chief technical advisortargeting destructive activities on coral reefs, financial officer, lead technical assistants in cooperation with the Borrower’s Navy and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. The Borrower shall ensure thatRecipient shall: (a) PIU throughout the period of implementation of the Project, maintain the National Steering Committee of the Five Million Hectares Re-forestation Program and establish and maintain thereunder the Project Steering Committee with membership acceptable to the Association and with such powers, responsibilities, funds and other resources as shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officernecessary to provide general policy guidance in the implementation of the Project, and ensuring coordination of Project activities with other suitably national initiatives on forestry and on biodiversity conservation, and coordination with other relevant national line agencies; and (b) establish and, throughout the period of implementation of the Project, maintain a Central Project Coordination Unit within the Borrower’s Ministry of Agriculture and Rural Development, to be responsible for, inter alia: (i) the overall administration of, and the consolidation of reports on, Project activities, and for all procurement at the national level; (ii) more specifically, coordination between the Departments of Forestry and Forest Protection in the institutional development activities under Part A of the Project; and (iii) liaison with the Borrower’s national Forest Sector Support Program; said Central Project Coordination Unit to be under the direction of qualified managers, provided with sufficient resources, and experienced staff staffed with competent personnel in adequate numbers, including a Project director, a Project chief accountant, and accounting and procurement staff, with qualifications and experience and under terms of reference acceptable to the Bank. 2. For purposes of Part C of the Project, the Recipient shall establish and, throughout the period of implementation of the Project, maintain the Vietnam Conservation Fund to provide financing for priority biodiversity conservation activities pursuant to the provisions of the Operational Manual for the Vietnam Conservation Fund under the Project Implementation Manual. For this purpose, the Recipient shall establish: (a) a Management Committee with membership and under terms of reference satisfactory to the Bank, to oversee the policy and operations of the Vietnam Conservation Fund, approve sub-grants for eligible Biodiversity Conservation Sub- projects endorsed by the Technical Review Group, and authorize the disbursements of said sub-grants; (b) each PPIU shall be headed by a provincial project coordinatorSecretariat within the Nature Conservation Division of the Forest Protection Department of MARD, who shall be assisted by a lead technical assistantunder the direction of qualified managers, a provincial project accountant, provided with sufficient resources and other suitably qualified and staffed with experienced staff personnel in adequate numbersnumbers including a Project director and a chief accountant; said Secretariat to be responsible for providing support to the Management Committee and for managing the operations of the VCF; all in a manner satisfactory to the Bank; and (c) the positions a Technical Review Group consisting of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to experts in this paragraph, shall be kept filled at all times by persons having conservation-related fields with qualifications and experience acceptable satisfactory to the AssociationBank, drawn from government agencies, research institutions, national and international non-governmental organizations, and a representative of the donors in the partnership supporting the Forest Sector Support Program, to assess biodiversity conservation proposals and make recommendations thereon to the Management Committee. 3. The Borrower Recipient shall: (a) prepare and transmit to , through the Association for commentsCentral Project Coordinating Unit at MARD, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, establish and, except as throughout the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion period of the Association, materially or adversely affect the implementation of the Project, maintain a computerized accounting system acceptable to the Bank; said system to enable it to: (a) classify disbursements under the Project by Project components and sub-components, expenditure categories, sources of fund and location; and (b) record and analyze transactions in the Special Account.

The PIM shall not be amended or waived, in whole or in part, in a manner which, in the opinion of the Association, would materially and adversely affect the execution of the Project or the achievement of its objectives. (a) The Borrower PIM shall establish and thereafter maintain the following committees and units with terms of referencecontain, composition and resources acceptable to the Associationinter alia: (i) not later than January 31a detailed description of the institutional set up for Project implementation and monitoring, 2000including the definition of the respective mandates, a National Committee on Effective Schooling (NCES)roles, to provide policy guidance responsibilities and general oversight functions of the PSMC and of the ministries and agencies involved in the carrying out of the Project; (ii) a work plan and schedule for Project Implementation Unit implementation; (PIUiii) to be responsible procedures for procurement, disbursement, accounting and financial management; (iv) detailed list of Project implementation indicators; (v) sources and applications of funds on an annual basis for each ministry and agency involved in the day-to-day management and implementation carrying out of the Project; and (iiivi) in other implementation arrangements for the case Project, including standard bidding documents for goods and consultants, the list of each consultants' services, the terms of reference of the Selected Provinces, a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee main studies and support services to be responsible to review Subproject proposals carried out, and approve Grants, as the case may be, in favor of Beneficiariesestimated costs thereof. (b) PIU The Borrower shall be responsiblemaintain, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination until the completion of the Project, including liaison the PSMC and its Permanent Secretariat with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable responsibilities satisfactory to the Association. 3. (c) The Borrower shall adequately staff the Permanent Secretariat of the PSMC and its field units. To this end, the Borrower shall: : (ai) prepare inter alios, not later than October 1, 2000, appoint, and transmit thereafter maintain, the heads of the following sections of the Permanent Secretariat of the PSMC: the ERS Section, the Economy and Finance Section, the Administration and Accounting Section and the Engineering and Local Resources Mobilization Section, all with appropriate qualifications and responsibilities; and (ii) furnish to the Association for commentsits approval, the qualifications, experience and terms of reference of the candidates for the positions of technical experts in biophysics, socio-economics, and human health in the field units and promptly upon receipt of the Association’s approval, appoint, and thereafter adopt maintain, said staff in form said positions with appropriate qualifications and substance acceptable responsibilities. 3. Not later than October 31, 2000, and thereafter by April 30 of each year, the Borrower shall, through the PSMC, furnish to the Association: (i) a , for its review and approval, proposed detailed work plans and budgets in respect of Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements activities for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the Projectforthcoming fiscal year.

The Borrower Steering Committee shall establish and thereafter maintain the following committees and units with terms of reference, composition and resources acceptable to the Association: (i) not later than January 31, 2000, a National Committee on Effective Schooling (NCES), to provide overall policy guidance and general oversight of advise the Project; (ii) a Project Implementation Unit (PIU) to be responsible for the day-to-day management and implementation of the Project; and (iii) in the case of each of the Selected Provinces, a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals and approve Grants, as the case may be, in favor of Beneficiariesvarious implementing agencies accordingly. (b) PIU The Steering Committee shall be responsiblechaired by the Minister for MLGRD, subject or his deputy, and shall meet quarterly in the first year of project implementation and bi- annually in subsequent years. (c) Not later than November 30 of each year, the Steering Committee shall review the progress made in respect of Project implementation, institutional issues, procurement, disbursements, the involvement of the private sector, the achievements of the DAs according to any policy guidance the performance criteria referred to in the Project Implementation Manual during the preceding year, and general directives that NCES may issue from time progress towards the objectives for the preceding year. (d) The Borrower shall transmit to timethe Steering Committee, with a copy to the Association, at least 30 days prior to such review, a report, in scope and detail satisfactory to the Steering Committee and to the Association, prepared by MLGRD and each Assembly, describing the status of progress regarding the items listed in paragraph (c) above and of Project implementation generally. 2. Upon completion of the Village Infrastructure Project, the Borrower shall transfer the RICU to MLGRD, and RICU shall become a single implementation unit for rural infrastructure with primary responsibility for coordinating implementation support to the District Assemblies and community groups and associations. RICU shall have broad autonomy in implementing the work program agreed upon with the Steering Committee. RICU shall be headed by a National Coordinator, selected by MOFA, supported by relevant technical staff, including financial management staff, a rural infrastructure engineer and an institutions specialist, all under terms of reference and with qualifications and experience satisfactory to the Association and appointed in accordance with procedures under Section II of Schedule 3 to this Agreement. 3. RICU shall: (ia) day-to-day coordination implement technical and institutional strengthening aspects of the Project, including liaison with interested donors, ensuring that Project actions and concerned public institutions, financial management and supervisioninterventions complement those of other similar projects in the sector; (b) be responsible for timely reporting, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staffimpact assessments; (c) Each PPIU shall be responsible for the day-establish and maintain a management information system to provide up- to-day date information on the status of implementation of the activities of the Project Subprojects in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbersvarious zones; and (cd) the positions of national project director, provincial project coordinators, chief provide policy and technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. The Borrower shall: (a) prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed liaison with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the ProjectSteering Committee.

The Borrower shall ensure that: (a) PIU shall be headed by a national project directormanager, who shall be assisted by a chief technical advisoran accounts officer, a financial officeradviser, an institutional development adviser, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinatormanager, who shall be assisted by a lead technical assistant, a provincial project accountantadvisers, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountantsmanagers, accounts officer, financial adviser, institutional development adviser and technical advisers, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. In order to ensure the proper carrying out of the Project, Sichuan shall establish and thereafter maintain the following committees and units at all times continue to maintain, with terms of reference, composition reference and resources acceptable to the Association, and with competent staff in adequate numbers: (ia) not later than January 31a Project Management Office at the provincial level to be responsible for the overall coordination and supervision of Project implementation, 2000, a National Committee on Effective Schooling (NCES), to provide policy guidance including procurement of goods and general oversight services and monitoring and evaluation of the progress of the Project; (iib) a Project Implementation Unit (PIU) Management Office in each prefecture and county involved in Project implementation, to be responsible for coordination and supervision of the day-to-day management Project activities included within said office’s jurisdiction; (c) Project leading groups at the provincial, prefectural and county levels, to include (i) at each level, representatives of technical bureaus; (ii) at the provincial level, representatives of the Provincial Women’s Federation, and (iii) at the prefectural level, of the Poverty Alleviation Office and the Nationalities Affairs Commission, to provide guidance to their respective Project Management Offices on Project coordination and the resolution of Project implementation issues; (d) a science and technology committee, to provide overall guidance on the technical aspects of the agricultural, horticultural, sericulture and livestock production activities under Parts B, C, D and E of the Project; and (iiie) the Anning River Basin Water Resources Management Committee, to promote the involvement of a wide range of stakeholders in the case of each of the Selected Provinces, a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals water allocation and approve Grants, as the case may be, in favor of Beneficiarieswater management decision-making process. (b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure thatSichuan shall, through the PPMO, prepare in accordance with guidelines acceptable to the Association and, not later than December 1 in each year, furnish to the Association for its review: (a) PIU shall be headed by a national project directoran annual work plan for the next calendar year for the main infrastructure works under Parts A.1, who shall be assisted by a chief technical advisor, a financial officer, A.2 and other suitably qualified and experienced staff in adequate numbersA.3 of the Project; (b) each PPIU shall be headed by a provincial project coordinatoran annual work plan for the next calendar year for the carrying out of the minor canal systems, who shall be assisted by a lead technical assistant, a provincial project accountant, land reclamation and other suitably qualified and experienced staff land development programs referred to in adequate numbersparagraph 3 of Part A of this Schedule 2; and (c) a status report on the positions collection rate for user charges for the water provided under each of national project directorParts A.1, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants A.2 and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to A.3 of the AssociationProject. 3. The Borrower shall:Sichuan shall ensure that action plans acceptable to the Association for the carrying out of minor canal systems, land reclamation and land development programs under the Manshuiwan subcomponent in Liangshan Prefecture under Part A.1 of the Project and under the Huangqiao subcomponent in Miyi County under Part A.2 of the Project shall be funded adequately and carried out in a timely fashion. (a) prepare Sichuan shall, promptly upon completion of the facilities to be constructed under Part A of the Project, establish and transmit collect from users of the water delivered through said facilities, water charges sufficient to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: cover (i) a Project Implementation Planthe operation and maintenance costs of such facilities as they are required, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manualreasonable portion of the cost of replacement of structures, giving details equipment and installation in respect of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements;said facilities. (b) carry out Sichuan shall review annually and adjust as necessary the Project above charges in accordance consultation with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect so as to continue to give effect to the implementation provisions of the Projectparagraph (a) above.

The Borrower shall: (a) prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan Administrative and Grants Operational Manual, Manual and, except as the Association Bank shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver mayof the Administrative and Operational Manual if, in the opinion of the AssociationBank, such amendment or waiver may materially or and adversely affect the implementation carrying out of the Project or the achievement of the objectives thereof. (a) The Borrower shall maintain BERD in a form and with functions, staffing and resources satisfactory to the Association. The staff of BERD shall include, inter alia, a director, an accountant, a procurement specialist, two technical experts and a financial expert with qualifications and experience acceptable to the Association. (b) BERD’s functions shall include: (i) the identification, catalyzing and supervision of the first decentralized rural electrification activities to be carried out under the Project; (ii) the training of stakeholders (including potential PDES) in the development of business plans and in the preparation of Subproject proposals; (iii) the launching of an awareness and information campaign for the benefit of potential Beneficiaries; (iv) providing through ▇▇▇▇ financing assistance for rural electrification activities; and (v) communicate to BICI-GUI all information it has on the PDESs and the Sub-Projects. (a) The Recipient shall establish and thereafter maintain in BERD a Steering Committee in a form and with functions, membership, staffing and resources satisfactory to the Bank. (b) The membership of the Steering Committee shall include: (i) the National Director of Energy as Chairman; (ii) a representative of the Ministry in charge of Economy and Finance; (iii) a representative of the Ministry in charge of regional development and decentralization; (iv) a representative of EDG; (v) the manager of BERD; (vi) a representative of Banque Internationale pour le Commerce et l’Industrie (BICI-GUI); and (vii) a representative or representatives of the private sector. The Steering Committee shall be concerned with: (A) the monitoring and evaluation of Program activities including the provision of technical support for BERD and financial support for ▇▇▇▇; (B) the conduct of annual financial audits of BERD and ▇▇▇▇; and (C) the approval of BERD’s annual work program and budget.

(b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation consolidation of annual work programs and quarterly implementation budgets, preparation and production of annual progress reports and work plansfinancial statements, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; andthe Project. 2. The Borrower shall: (a) prepare , to be responsible under terms and transmit conditions acceptable to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of internal audits under the Project.

The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who fully staffed and equipped as shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Associationnecessary for its proper functioning. 3. The Borrower shall: (a) prepare maintain policies and transmit procedures adequate to the Association for commentsenable it to monitor and evaluate on an ongoing basis, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed accordance with the Association for purposes indicators agreed upon between the Borrower and the Bank, the carrying out of the Project; and (ii) a Grants Operational Manual, giving details Project and the achievement of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreementsobjectives thereof; (b) carry prepare, under terms of reference satisfactory to the Bank, and furnish to the Bank, on or about (i) January 31 and July 31 of each year, a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report, and (ii) by March 31, 2002, a mid-term report integrating the date and other information contained in the reports prepared pursuant to subparagraph (b) (i) above, on the progress achieved in carrying out the Project in accordance with procedures set during the period preceding the date thereof and setting out in the measures recommended to ensure the efficient carrying out of the Project Implementation Plan and Grants Operational Manualthe achievement of the objectives thereof during the period following such date; and (c) review with the Bank, by June 30, 2002, or such later date as the Bank shall request, the report referred to in subparagraph (b) (ii) of this Section, and, except as thereafter, take all measures required to ensure the Association shall otherwise agree, shall not amend or waive any provision efficient completion of the Project and the achievement of the objectives thereof, if such amendment or waiver may, in based on the opinion conclusions and recommendations of the Association, materially or adversely affect said report and the implementation Bank views on the matter. 1. The Borrower shall ensure that: (a) PIU shall establish and maintain a Task Force for the Project to be headed by a national project directorthe Secretary, who Power Division (MPEMR) and including the Chairpersons of BPDB, DESA and REB, the Managing Director of PGCB, the Division Chief (Power and Industry) of the Planning Commission, the Director General (Industry and Energy) in IMED, the concerned Additional/Joint Secretary of ERD, the Joint Secretaries of Finance Division and Power Division. The Director General of the Power Cell shall act as the member-secretary. The Borrower shall: (a) prepare maintain policies and transmit procedures adequate to the Association for commentsenable it to monitor and evaluate on an ongoing basis, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed accordance with the Association for purposes indicators set forth in Schedule 6 to this Agreement, the carrying out of the Project; and (ii) a Grants Operational Manual, giving details Project and the achievement of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreementsobjectives thereof; (b) carry prepare, under terms of reference satisfactory to the Association, and furnish to the Association, on or about February 28, 2006, a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) above, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the Project in accordance with procedures set measures recommended to ensure the efficient carrying out in of the Project Implementation Plan and Grants Operational Manualthe achievement of the objectives thereof during the period following such date; and (c) review with the Association, andby March 31, except 2006, or such later date as the Association shall otherwise agreerequest, shall not amend or waive any provision the report referred to in paragraph (b) above, and, thereafter, take all measures required to ensure the efficient completion of the Project and the achievement of the objectives thereof, if such amendment or waiver may, in based on the opinion conclusions and recommendations of the said report and the Association, materially or adversely affect ’s views on the implementation of the Projectmatter.

(b) PIU shall be responsible, subject to any the overall policy guidance and general directives that NCES may issue from time of the SDF Advisory Board referred to time, for in subparagraph (i) of this paragraph, for the day-to-day coordination of the execution of Parts A and C of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plansprogress reports, audits, and design of training programs for MoEYS Annual Work Programs and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animatorsBudgets, and implementation, monitoring and evaluation coordination of Subprojects; and 2. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. The Borrower shall: (a) prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, evaluation of Subprojects. (a) For purposes of Part B of the Project, the Borrower shall establish a multi-agency Technical Advisory Group (TAG), to be chaired by MPSLSW, and consisting of representatives of central planning bodies, line Ministries, CSO, research institutions, NGOs, the private sector and donors, to guide the process of development of the Borrower’s proposed Integrated Poverty Monitoring and Analysis System (IPMAS), including procedures facilitation of opportunities for submission regular technical exchanges between institutional partners on poverty information and review use, identification of requests priority policy issues for financingfurther studies and investigation, criteria approval of guidelines for the review financing of studies and approval commissioning of Subprojectspriority studies, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement Annual Work Programs and other implementation guidelines, and model forms of Subproject Agreements;Budgets. (b) carry out The Borrower shall designate the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, Poverty Monitoring Section (PMS) of DLRS to serve as secretariat of TAG and, except as the Association shall otherwise agreesuch, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion to be responsible for coordination of the Associationexecution of Part B of the Project, materially or adversely affect including coordination of procurement and disbursement activities, preparation of annual and quarterly progress reports, audits, and Annual Work Programs and Budgets, preparation of guidelines for the financing of studies and commissioning of priority studies. (a) PMU shall be headed by a Project Manager, who shall be assisted by a Finance and Administration Unit, a Technical Services Support Unit, and a Monitoring Unit. (b) PMS shall be headed by a Poverty Monitoring Manager, who shall be assisted by other higher level and support staff, as appropriate. (c) The Borrower shall ensure that the positions of Project Manager, Poverty Monitoring Manager and other higher level staff involved in the implementation of the Project, shall be kept filled at all times by appropriate officials, having qualifications and experience acceptable to the Borrower and the Association.

(b) PIU shall be responsible, subject to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination of the Project, including liaison with interested donors, and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff; (c) Each PPIU shall be responsible for the day-to-day implementation of the activities of the Project in the respective Selected Province, including training, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure that: (ai) PIU PISU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistantprocurement, a provincial project accountantfinancial management, and monitoring and evaluation specialists, an internal auditor and other suitably qualified and experienced staff in adequate numbers; and (cii) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants coordinator and provincial project accountants, which are referred to in this paragraph, other higher-level staff of PISU shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 2. Pending the establishment of ANGEF, DGEF shall continue to assume responsibility for the operational aspects of conservation and sustainable management of forest resources and, as such, be responsible for the implementation of Part A of the Project. 3. The Borrower Recipient shall: (a) : prepare and transmit to the Association for comments, and thereafter adopt in form and substance acceptable to the Association: (i) , a Project Implementation Plan, giving details of all implementation operational guidelines and procurement arrangements, procedures as shall have been agreed with the Association for purposes the implementation, monitoring and supervision of the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the reviewincluding: performance indicators, appraisal, supervisionmonitoring and evaluation guidelines, and monitoring environmental assessment methodology; administrative, accounting and evaluation, of Subprojects, including procedures for submission financial procedures; procurement and review of requests for financing, disbursement guidelines; criteria for the review selection of project intervention areas; details of the EA/EMP and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project in accordance with procedures set out in the Project Implementation Plan and Grants Operational ManualPF, and, except as they become available, other social and environmental instruments governing the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, Project; and guidelines for the compensation of PAPs as set forth in the opinion PF, and, as they become available, details of the Association, materially or adversely affect the implementation of the Project.individual PFAPs; and

Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply. Section A: Project Oversight, Coordination and Implementation: Institutional Arrangements 1. The Oversight Committee, headed by the Minister of Public Health and composed of the Secretary General, the Director General for Health, Directors from all Project concerned units within the MOPH, and a representative of each of the Borrower’s Ministries of International Cooperation and Foreign Investment, Economic Development and Finance, shall be assigned responsibility for ensuring complementarity and coherence of all Project activities with the strategic directions of the Borrower’s Ninth Development Plan, and their efficient implementation. For this purpose, the said Committee will meet on a periodic basis, but not less than three (3) times each Fiscal Year. (a) The Borrower shall establish assign overall Project coordination to DEP, which shall be operating with sufficient financial, physical and thereafter human resources. (b) Without limitation upon the provisions of the preceding paragraph (a), DEP shall have additional specific responsibility for monitoring of financial and physical progress under the Project, progress evaluation on the achievement of the Sector Measures, coordination of disbursements and procurement activities, and preparation of the semi-annual progress, implementation and mid-term review reports referred to in Sections C and D of this Schedule. 3. For purposes of ensuring the timely and effective implementation of the Project, the Borrower shall maintain the following committees Directorate in Charge of Hospitals (Direction de la Tutelle des Hôpitaux) and units the Units (Unités de Gestion par Objectif) for the National Medical Emergency Services and the National Health Information System under, respectively, Parts B.2 and B.3 of the Project, assuring that their mandate is clearly focused and that they are strengthened and provided with terms supplemental resources and services of referenceadditional staff as required to carry out their responsibilities under the Project. Section B: Approval of Investment Activities under Part B of the Project (a) The Borrower, composition through DEP, shall prepare and resources acceptable furnish to the Association: Bank: (i) not later than January 31April 30 in each Fiscal Year, 2000for its review and comments, the Borrower’s proposed health sector investment program for the following Fiscal Year, along with the financing plan therefor; and (ii) not later than May 31 in each Fiscal Year, for its review and approval: (A) a National Committee on Effective Schooling (NCES), detailed description of the activities identified thereunder and proposed to provide policy guidance and general oversight be financed under Part B of the Project; , including a technical and economic evaluation of the activities prepared in accordance with criteria and procedures satisfactory to the Bank and, where required, an environmental assessment report and/or mitigation plans approved by the ANPE and satisfactory to the Bank; and (iiB) a Project Implementation Unit (PIU) to be responsible for the day-to-day management and implementation description of the Project; and (iii) overall progress made by the Borrower in the case of each carrying out of the Selected Provinces, a Provincial Project Implementation Unit (PPIU), as well as a Provincial Grants Management Committee to be responsible to review Subproject proposals and approve Grants, as Sector Measures during the case may be, in favor of Beneficiariescurrent Fiscal Year. (b) PIU If the Bank shall have reasonably considered as unsatisfactory the overall progress made by the Borrower in carrying out the Sector Measures during any Fiscal Year, the Bank may withhold further approval of commitments under the Project or any part thereof for the following Fiscal Year. Such withholding may continue until the Borrower shall have taken, or shall have caused to be taken, remedial action, satisfactory to the Bank, as shall be responsible, subject necessary to any policy guidance and general directives that NCES may issue from time to time, for (i) day-to-day coordination achieve the objectives of the Project, including liaison with interested donors, Project and concerned public institutions, financial management and supervision, monitoring and evaluation, and facilitation ensure the successful achievement of technical assistance activities, (ii) coordination of procurement and disbursement activities, and (iii) preparation of annual and quarterly implementation reports and work plans, and design of training programs for MoEYS and provincial staff;the Sector Measures. (c) Each PPIU Thereafter, the Borrower shall finalize the proposals for activities to be responsible for financed under the day-to-day implementation Project taking into consideration the Bank’s comments thereon, and shall take all measures necessary to ensure their efficient implementation. Section C: Project Monitoring Without limitation upon the provisions of Section 9.07 of the activities of General Conditions, the Project in the respective Selected ProvinceBorrower, including trainingthrough DEP, coordination and management of animators, and implementation, monitoring and evaluation of Subprojects; and 2. The Borrower shall ensure that: (a) PIU shall be headed by a national project director, who shall be assisted by a chief technical advisor, a financial officer, and other suitably qualified and experienced staff in adequate numbers; (b) each PPIU shall be headed by a provincial project coordinator, who shall be assisted by a lead technical assistant, a provincial project accountant, and other suitably qualified and experienced staff in adequate numbers; and (c) the positions of national project director, provincial project coordinators, chief technical advisor, financial officer, lead technical assistants and provincial project accountants, which are referred to in this paragraph, shall be kept filled at all times by persons having qualifications and experience acceptable to the Association. 3. The Borrower shall: (a) not later than May 31 and November 30 in each Fiscal Year, commencing on November 30, 1998 and until Project completion, prepare and transmit furnish to the Association Bank for commentsits review a progress report, of such scope and thereafter adopt in form such detail as the Bank shall reasonably request, describing, in accordance with the Performance Indicators and substance acceptable to the Association: parameters set forth by the Sector Measures: (i) a Project Implementation Plan, giving details of all implementation and procurement arrangements, as shall have been agreed with the Association for purposes of progress achieved by the Project; and (ii) a Grants Operational Manual, giving details of all procedural arrangements for the review, appraisal, supervision, and monitoring and evaluation, of Subprojects, including procedures for submission and review of requests for financing, criteria for the review and approval of Subprojects, and approval of Grants, criteria for the choice of Selected Provinces, applicable procurement, disbursement and other implementation guidelines, and model forms of Subproject Agreements; (b) carry out the Project Borrower in accordance with procedures set out in the Project Implementation Plan and Grants Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the Project during the preceding six (6) month period, including the status of implementation; (ii) the financial situation of the Project.;
