Pricing Structure. Contractor agrees that no price increases shall be passed along to the County during the term of this Contract not otherwise specified and provided for within this Contract.
Pricing Structure. CONTRACTOR guarantees that prices quoted are equal to or less than prices quoted to any other local, State or Federal government entity for services of equal or lesser scope. 8.2. Should the Product deemed Activated (referred to Clause 1 of General Terms and Conditions), the full pricing shall be charged regardless of the Receiving Parties termination intention and its outcome.
8.3. Should any of the Service be purchased, the Receiving Parties agree and shall commit and perform the stipulated Payment (referred to Clause 1 of the General Terms and Conditions) to ▇▇▇▇▇▇▇▇ for the selected Product’s Activation (referred to Clause 1 of the General Terms and Conditions).
8.4. In lieu with Clause 8.3, the Receiving Parties agree and shall not, by any means necessary, hold ▇▇▇▇▇▇▇▇ liable for any Payment owe to any of the third-party Vendors.
8.5. The Receiving Parties agree and acknowledge that the Payment is not refundable in the event of Product execution earlier than the stipulated Cut-Off Time.
8.6. The Receiving Parties agree that, in the event of termination or cancellation of the Service while it is Activated (referred to Clause 1 of General Terms and Conditions), shall not seek any refund from ▇▇▇▇▇▇▇▇ and the selected third-party Vendor.
8.7. The Receiving Parties agree and shall ▇▇▇▇▇ ▇▇▇▇▇▇▇▇, in the event of any unauthorized late Payment of any kind to:
8.7.1. revert all executions back to its initial state; AND
8.7.2. no refund of Upfront Payment; AND
8.7.3. charging late payment fees at ▇▇▇▇▇▇▇▇’▇ sole discretion; AND
8.7.4. no compensation of any kind.
8.8. The Receiving Parties agree that ▇▇▇▇▇▇▇▇ shall charge for any logistical charges involving ▇▇▇▇▇▇▇▇ traveling to the Receiving Parties’ designated locations for executing the Product.

Pricing Structure. If, during the Contract Term, the Contractor is unable or unwilling to meet contractual requirements in whole or in part based on the price structure of the Contract, it Shall immediately notify the Office of General Services, Procurement Services in writing. Such notification Shall not relieve the Contractor of its responsibilities under the Contract. The State May, but is not required to, consider an equitable adjustment in the Contract terms and/or pricing in the circumstances outlined in Appendix B §44, Savings/Force Majeure. Pricing Structure. Pricing for Products are listed on Attachment A and will remain in effect during the Contract Term.
Pricing Structure. The pricing structure for WorldCom Audio-On-Demand consists of the following elements: SET-UP FEES, MAINTENANCE FEES, TOLL-FREE NUMBER USAGE CHARGES, TOLL NUMBER USAGE CHARGES, VOICE RESPONSE TRANSCRIPTION FEES, VOICE RESPONSE ACTIVATION FEES, VOICE RESPONSE RETRIEVAL FEES, VOICE RESPONSE TAPE FEES, and VOICE TALENT FEES. All pricing elements shall receive the Company’s then-current standard list rates, as may be changed from time to time. Except as specifically stated herein, the current standard list pricing is as follows:
(i) SET-UP FEES: Customer will be charged the standard list price, currently ****, for the one-time set-up fees associated with WorldCom Audio-On-Demand service.
(ii) MAINTENANCE FEES: Customer will be charged the standard list price, currently ****, during each Monthly Period of the Term for the Maintenance Fees associated with WorldCom Audio-On-Demand service.
(iii) TOLL-FREE NUMBER USAGE CHARGES: Customer will be charged **** per participant for Toll-Free Number Usage charges during each Monthly Period of the Term.
(iv) TOLL NUMBER USAGE CHARGES: Customer will be charged **** per participant for Toll Number Usage charges during each Monthly Period of the Term.
(v) VOICE RESPONSE TRANSCRIPTION FEES: Customer will be charged the standard list price, currently **** plus an administrative access fee* per transcription, for Voice Response Transcription fees. (* ****charge for downloading the information for Voice Response Reporting.)
(vi) VOICE RESPONSE ACTIVATION FEES: Customer will be charged the standard list price, currently **** per activation, for Voice Response Activation Fees.
(vii) VOICE RESPONSE RETRIEVAL FEES: Customer will be charged the standard list price for Voice Response Retrieval fees, which is currently **** per person limited to **** prompts.
(viii) VOICE RESPONSE TAPE FEES: Customer will be charged the standard list price, currently **** per tape used, for Voice Response Tape fees.
(ix) VOICE TALENT FEES: Customer will be charged the standard list price, currently **** for every **** per recorded voice, for Voice Talent fees. # * ****Confidential Treatment has been requested for the redacted portions. Pricing Structure. The Fees for Search Services shall be 25% of the first year’s Remuneration for JOB TITLE. Fees are payable in the following stages: Search Fee The Company shall receive one third (33.33%) of the total fee based on the total Assumed Remuneration for the Search Service mandate, which shall be payable on acceptance of the Services Contract; Shortlist Fee The Company shall receive one third (33.33%) of the total fee based on the total Assumed Remuneration for the Search Service mandate, which shall be payable on presentation of a shortlist. Completion Fee The remaining balance owing to the Company based on actual Remuneration offered to the Candidate, which shall be payable by the Client once written acceptance is received from the Candidate.
5.2.1 For any subsequent Placements resulting from the Search Service mandate, the Company shall become entitled to a lump sum fee equivalent to 20% of the first year’s Remuneration package (“Lump Sum Fee”). The Company shall be entitled to invoice for the Lump Sum Fee on written acceptance of the Candidate.

The overall Award amount maximum may be limited to actual project costs at the discretion of the State. The Award Amount or pricing structure may be amended for reasons including but not limited to breach of the Agreement, reduced actual project costs, conformity with current or future NTIA guidance, and for reasons identified elsewhere in this Agreement.
