Common use of Prior Written Consent Clause in Contracts

Prior Written Consent. For the purposes of this Section 6.1, prior written consent of ▇▇▇▇-▇▇▇▇▇ and Spartan Stores, as applicable, shall be deemed to have been given with respect to any matter for which ▇▇▇▇-▇▇▇▇▇ or Spartan Stores has requested consent, in writing and delivered to the general counsel and chief financial officer of ▇▇▇▇-▇▇▇▇▇ or Spartan Stores, as applicable, and in accordance with Section 9.6 (including by providing copies to all required parties), but ▇▇▇▇-▇▇▇▇▇ or Spartan Stores, as applicable, has not responded in writing within five Business Days of such request.
