Procedures for Participation. (a) The Seller shall deliver notice of the Required Sale to the Minority Investors (the "Required Sale Notice"), which shall set forth: (i) the date of such notice (the "Notice Date"), (ii) the proposed amount of consideration to be paid per share for the Common Shares (the "Sale Shares") and the other terms and conditions of payment offered by the transferee in reasonable detail, together with written proposals or agreements, if any, with respect thereto, (iv) the aggregate number of Sale Shares and (v) the proposed date of the Required Sale (the "Required Sale Date"), which shall be not less than 30 nor more than 180 days after the Notice Date. (b) The Drag-Along Sellers shall cooperate in good faith with the Seller in connection with consummating the Required Sale (including, without limitation, the giving of consents and the voting of any Capital Shares of the Company held by the Drag-Along Sellers to approve such Required Sale). On the Required Sale Date, the Drag-Along Sellers shall deliver, free and clear of all liens, claims or encumbrances, a certificate or certificates and/or other instrument or instruments for its Common Shares, duly endorsed and in proper form for transfer, with the signature guaranteed, to such transferee in the manner and at the address indicated in the Required Sale Notice and the Seller shall cause each Drag-Along Seller's share of the purchase price to be paid to such Drag-Along Seller.
Procedures for Participation. Within 15 days after its receipt of the Offer Notice, each Accredited Offeree shall deliver to the Company a written notice (the "Acceptance Notice") specifying whether or not it desires to accept the Offer, whereupon each Accredited Offeree, who has elected to accept the Preemptive Rights Offer, shall be obligated to purchase its pro rata share of the Offered Securities at the closing of the Preemptive Rights Transaction, if and when it occurs. Except to the extent the Preemptive Rights Offer has been duly accepted pursuant to this Section 3.2 and the Acceptance Notice, the Company may proceed with the proposed issue or sale of the Offered Securities, free of any right on the part of any Party under this Article III in respect thereof during the 120 days following the expiration of such 15-day period at a price and on terms no less favorable to the Company than those offered to the Accredited Offerees. Common Shares or Common Share Equivalents proposed to be issued or sold by the Company after such 120-day period shall be reoffered to Accredited Offerees pursuant to the terms of this Article III.
Procedures for Participation. (a) The Participation Offer shall describe the terms and conditions of the proposed Significant Sale and shall be conditioned upon (i) the consummation of the transactions contemplated in the Participation Offer with the transferee named therein and (ii) each Co-Seller's execution and delivery of all agreements and other documents as the Tag-Along Seller is required to execute and deliver in connection with such Significant Sale; provided, that such agreements and documents are reasonable and customary with respect to the Tag-Along Seller's participation. If any Co-Seller shall accept the Participation Offer, the Tag-Along Seller shall reduce, to the extent necessary, the number of Common Shares it otherwise would have sold in the proposed transfer so as to permit those Co-Sellers who have accepted the Participation Offer to sell the number of Common Shares that they are entitled to sell under this Section, and the Tag-Along Seller and such Co-Sellers shall transfer the number of Common Shares specified in the Participation Offer to the proposed transferee in accordance with the terms of such transfer as set forth in the Participation Offer; provided, however, that in no event shall any Co-Seller be entitled to sell a greater percentage of its Fully-Diluted Common Shares than the percentage of Fully-Diluted Common Shares of the Tag-Along Seller being sold by the Tag-Along Seller. (b) Within 20 days after its receipt of the Participation Offer, each Co-Seller shall deliver to the Tag-Along Seller a written notice specifying whether or not it desires to accept the Participation Offer and the number of Common Shares that each such Co-Seller desires to sell in the Participation Offer, whereupon each such Co-Seller shall be obligated to sell such Common Shares at the closing of such Significant Sale, if and when it occurs. In the event no Co-Seller duly accepts the Participation Offer within such 20-day period, the Tag-Along Seller may proceed with the proposed transaction, free of any right on the part of a Co-Seller under this Article V in respect thereof for a period of 120 days following the expiration of such 20-day period.

High School students can then follow these procedures to enroll in a career and technical education program at Hendry County School District when desired. All career dual enrollment students will have the opportunity to achieve industry certification(s) as part of the career program. f. Students wishing to drop or change career and technical programs must submit rationale for doing so, in writing, to the ▇▇▇▇▇▇ District Office. A parent is to be contacted by the Glades County School District before making a final determination. g. All of the credits earned by high school students under the Articulated · Acceleration Plan shall be defined and weighted in accordance with F.S. 1007.27and F.S.1007.271(1)-(3), (7), (11). ▇. ▇▇▇▇▇▇▇ Adult School and/or Clewiston Adult School will d e t e r m i n e a c a d e m i c c r e d i t a w a r d e d b a s e d o n e x p e c t e d c o m p e t e n c i e s a n d c r e d e n t i a l s o b t a i n e d . i. A student/parent orientation is held at the start of each year. d. All students enrolled in career dual enrollment will meet the Basic Skills Requirements as specified in Florida Administrative Code (F.A.C.) Rule 6A- 10.040. e. All career dual enrollment students will have the opportunity to achieve an industry certification as part of the career program. f. Students wishing to drop or change career and technical programs must submit rationale for doing so, in writing, to Student Services. A parent meeting is held prior to making a final determination. g. All of the credits earned by high school students under the Articulated · Acceleration Plan shall be defined and weighted in accordance with F.S. 1007.27and F.S.1007.271(1)-(3), (7), (11). h. iTech will award grades and credits upon students completing a program course (Occupational Completion Points). A list containing student names, course, credits, and grades is provided to High Schools upon a mutually agreed timeline. i. Students participating in career dual enrollment will be responsible for meeting iTech’s expectations for registration, attendance and behavior as specified in the catalog and handbook. Students enrolled at iTech are expected to attend at, a minimum, a half day of a school day, unless arrangements have been mutually agreed upon by the parties for the benefit of the given student.

  • Conditions for Participation III. 1.1) Suitability to pursue the professional activity, including requirements relating to enrolment on professional or trade registers

  • Program Participation By participating in the CRF Program, Grantee agrees to: a. Not increase any Eligible Household’s rent through January 2021; b. Waive all costs, fees and charges incurred by Eligible Households as a result of non- payment or partial payment of rent during the impacted months; c. Not consider non-payment or partial payment by Eligible Households during impacted months when considering renewal of an Eligible Household’s lease, or, share this information with other rental properties, credit bureaus and tenant screening companies; d. Not initiate new Eligible Household evictions for non-payment of rent and must suspend all pending evictions of Eligible Households for nonpayment of rent for the duration of the rental payment assistance; e. Not issue a notice to vacate to Eligible Households for nonpayment of rent until the end of the Eviction Relief Period; and f. Not require Eligible Households to vacate the unit until 30 days after such notice.

  • Company Participation Subject to Section B.5, the Company shall not be liable to indemnify the Indemnitee under this Agreement with regard to any judicial action if the Company was not given a reasonable and timely opportunity, at its expense, to participate in the defense, conduct and/or settlement of such action.

  • Joint Participation The parties hereto participated jointly in the negotiation and preparation of this Release, and each party has had the opportunity to obtain the advice of legal counsel and to review and comment upon the Release. Accordingly, it is agreed that no rule of construction shall apply against any party or in favor of any party. This Release shall be construed as if the parties jointly prepared this Release, and any uncertainty or ambiguity shall not be interpreted against one party and in favor of the other.

  • Committee Participation 9.01 Except as otherwise provided in this Collective Agreement, an Employee (or the Employee’s alternate) who is a member and attends meetings of a committee established by the Employer, shall be paid at the Employee’s Basic Rate of Pay for attendance at such meetings. Such participation shall be voluntary.
