Product Updates and Upgrades Clause Samples

The 'Product Updates and Upgrades' clause defines the terms under which a customer will receive improvements, new features, or enhanced versions of a product after the initial purchase. Product Updates and Upgrades. 3.2.1 The software package that you may access remotely represents one version (the “Version”) of the Product. The software that you may access as part of this Product is licensed but not sold to you. You are aware that you are licensing the use of a Version of the Product, rather than purchasing the Product outright. You further acknowledge and agree that PrimePay may cause the software templates or software system that delivers the Product to become inoperable where the Version has expired due to passage of time, failure to remunerate, or other circumstances. PrimePay reserves the right to collect data from your use of the Product, by the use of cookies or otherwise, for any lawful purpose including but not limited to determine whether you are complying with the terms of this Agreement, all in accordance with PrimePay’s Privacy Policy. 3.2.2 Products are updated periodically to provide you with the most current logic. During the term of this Agreement, revised versions of the Product will automatically be made available to you 2.2.3 Upgrades: From time to time PrimePay may upgrade the Products. PrimePay has the right to determine if such upgrades will be included as part of Licensed Features.

Product Updates and Upgrades. Upon payment of Licensee's annual Support and Upgrade Fee, Licensor agrees to provide Licensee with the Product Updates and Product Upgrades produced by Licensor. These will be provided without additional fee if provided to the Licensee via E-mail, web based download, or US mail. Fees associated with any other form of shipment will be paid by the Licensee.

Upgrades are designated as follows: (i) a “major” Upgrade is indicated by a change in the first digit of a version number (e.g. from 10.0 to 11.0); (ii) an “Upgrade” is indicated by a change in the second digit (e.g. from 10.0 to 10.1); or (iii) an “Update”, is indicated by a change in the third digit of a version number (e.g. from 10.0.1 to 10.0.2). Maintenance releases shall be provided as necessary in response to a Licensee inquiry. Licensee shall be solely responsible for the installation and testing of any Updates.

Related to Product Updates and Upgrades

  • Updates and Upgrades Contractor grants to the Department a non-exclusive, non-transferable license to use upgrades and updates provided by Contractor during the term of the Contract. Such upgrades and updates are subject to the terms of the Contract. The Department shall download, distribute, and install all updates as released by Contractor during the length of the Contract, and Contractor strongly suggests that the Department also downloads, distributes, and installs all upgrades as released by Contractor during the length of the Contract. Contractor shall use commercially reasonable efforts to provide the Department with work-around solutions or patches to reported software problems that may affect the Department’s use of the software during the length of the Contract.

  • Software Updates ▇▇▇▇▇ agrees to keep current with software licensed from Skyward and will install new versions on a timeline approved by ▇▇▇▇▇ governance. This timeline will be communicated by NWRDC to the Districts.

  • Updates “Updates” are changes that do not require a change to the established Centralized Contract terms and conditions. Updates may include: Centralized Contract changes and updates made in accordance with the previously approved pricing formula (e.g. discount from list price); adding new products or services within the established, previously approved pricing structure; lowering pricing of products or services already on Contract, deleting products or services available through the Centralized Contract, adding product or service that do not fall under the previously established price structure or discounts under the Contract, re-bundled products, and other updates not listed above that are deemed to be in the best interest of the State and do not result in a change to the established Centralized Contract terms and conditions. Updates must be submitted to OGS for review, and must be accompanied by a justification of reasonableness of price if the change results in a change in pricing methodology. OGS will notify Contractor in writing if approved.

  • Technical Specifications The purpose of the Technical Specifications (TS), is to define the technical characteristics of the Goods and Related Services required by the Procuring Entity. The Procuring Entity shall prepare the detailed TS consider that:

  • Technology Upgrades Notwithstanding any other provision of this Agreement, Verizon shall have the right to deploy, upgrade, migrate and maintain its network at its discretion. The Parties acknowledge that Verizon, at its election, may deploy fiber throughout its network and that such fiber deployment may inhibit or facilitate Covista’s ability to provide service using certain technologies. Nothing in this Agreement shall limit Verizon's ability to modify its network through the incorporation of new equipment or software or otherwise. Covista shall be solely responsible for the cost and activities associated with accommodating such changes in its own network.
