FOR PRODUCTS. With respect to each Lilly Target Pair, Zymeworks hereby grants to Lilly an exclusive license under the Zymeworks Intellectual Property (including Zymeworks’ interest in Joint Inventions) to (a) make, use and import Antibodies Directed To such Lilly Target Pair for incorporation into Products and (b) make, use, offer to sell, sell, and import Products that incorporate such Antibodies in the Field in the Territory as of the Effective Date and during the Term of the Agreement (the “License”). Notwithstanding anything to contrary in this Agreement, during the Term of this Agreement, Zymeworks agrees that it shall neither: (i) make, use, offer to sell, sell, and import Products and/or Antibodies in the Field in the Territory; nor (ii) grant any rights to Zymeworks Intellectual Property to any Affiliate, sublicensee or other Third Parties to make, use, offer to sell, sell, and import Products and/or Antibodies in the Field in the Territory.

FOR PRODUCTS. For the avoidance of doubt, Purchaser shall be solely responsible for obtaining and maintaining all licenses, permissions, authorizations, consents, and permits necessary for the research, development, manufacture (excluding manufacture of the CpG Material), use, marketing, promotion, distribution, handling, storage, sale, or other disposition of the Vaccine and Products, and for complying with all Applicable Laws in connection with carrying out the foregoing activities.

FOR PRODUCTS. Licensee’s exclusive remedy and OpenTV’s entire liability with regard to the Product(s) will be the free correction of Errors or free replacement of the Product(s) licensed hereunder for a period of 6 months after acceptance of the Product and correction of Errors in accordance with the maintenance and support services set out in Exhibit D in effect for Licensee, if any.

FOR PRODUCTS. 1. In the sole discretion of Seller and as set forth in a Order, a deposit may be required upon execution of the Order. 2. One Hundred Percent (100%) of the Price attributable to the cost of such Product(s) (if a deposit is required as provided in (1) above, then the remaining balance) shall be invoiced upon shipment of the applicable Product(s). However, in the event Seller ships Products for a particular Order in multiple shipments, the balance attributable to the Products contained in each such shipment shall be invoiced separately and due accordingly.

FOR PRODUCTS. The Warranty for Products is set forth in Section 8.2, WARRANTY; the Warranty Period is set forth in Exhibit 8-1, provided , however, that the Warranty Period begins on the earlier of Final Acceptance of a completed Work Order or Beneficial Occupancy.

FOR PRODUCTS. Purchased and Installed in the continental United States. For the first *** of aggregate purchases of Sun Products purchased by AOL under the Agreement for its internal use (the "Initial Installed Base") the maintenance fee will be *** per annum on Products. The maintenance fee will only increase for additional purchases as follows: (i) for AOL purchases that result in an installed base of up to *** systems beyond the Initial Installed Base (for AOL's internal use), there will be no additional maintenance fee; (ii) when AOL has an installed base of more than *** systems beyond the Initial Installed Base, the maintenance fee will be increased by the rate of *** per annum. (iii) the maintenance fee will be thereafter be increased by the additional rate of *** per annum for each additional *** systems in the Installed Base (i.e., at *** systems, etc.) beyond the Initial Installed Base. For each and every *** per annum increase in the maintenance fee, Sun will place one additional full-time, dedicated support person on-site at AOL and shall increase the on-site spares to the appropriate levels. For purposes hereof, the "Installed Base" hereunder will mean systems purchased and installed hereunder, less systems taken out of service by AOL.

FOR PRODUCTS. The discounts offered for a specific Product category must be uniform for all Products within that category. Contractor may, however quote a different discount percentage for different Product categories. For example, Screen Magnifiers’ discounts may have a different structure than CCTV’s. However, all Screen Magnifiers within a Product category must have the same discount.
