Ingram will sell to PeoplePC the computer product systems and products in the quantity and type specified on the purchase orders issued from PeoplePC to Ingram and dated as of May 15, 2000, copies of which are attached to this ▇▇▇ as Attachment "A" (collectively, the "Purchase Orders"). The computer product systems and related products in the type and quantity specified on the PO are collectively referred to herein as the "Products." A "Product Unit" as used herein, means any of the following: a central processing unit, a monitor, a printer or an accessory box. Except to the extent permitted pursuant to Paragraph 2 below, the Purchase Orders are noncancellable; no act or failure to act by Ford, Delta or any other party shall relieve PeoplePC of its obligation to buy the Products from ▇▇▇▇▇▇.
Products Sold. All rights of Seller or any of its Subsidiaries in and to products sold (including products returned after the Closing and rights of rescission, replevin, and reclamation) in the operation or conduct of the Business.

Products Sold. By executing the Purchase Order Confirmation, the Customer acknowledges and Agrees that Starlight Engineering is required only to supply the Products described therein, and such Purchase Order Confirmation can not be amended. Should the Customer, prior to supply of the Product by Starlight Engineering wish to amend or change its order, the Customer agree to execute and deliver a fresh Purchase Order Confirmation.
Products Sold. After the Launch Date, within [ * ] after the end of each Calendar Quarter, the Company shall deliver to each of Lilly and ICOS a report indicating the quantity of Product sold and the value of these sales.

PeoplePC may revoke or cancel a Purchase Order (or the relevant portion thereof), and action or inaction by HP may relieve PeoplePC of its obligation to buy one or more of the Products covered by a Purchase Order, only if and to the extent that (i) HP supplies materially non-conforming or defective Product(s) to Ingram pursuant to the corresponding purchase order issued by Ingram to HP, (ii) Ingram becomes aware of such non-conformity or defect in the Product(s), and (iii) by virtue of such non-conformity or defect, Ingram under its agreements with HP has a valid defense to payment of HP for such non-conforming or defective Product(s). In all cases where (i) PeoplePC
1. maintains that one or more Products supplied by HP are materially non-conforming or defective, and (ii) PeoplePC pursuant to the preceding sentence is not entitled to revoke or cancel the applicable Purchase Order(s) (or the relevant portion thereof) and is not relieved of its obligation to buy one or more of the Products covered by such Purchase Order(s), Ingram shall assign to PeoplePC any rights that Ingram has or may have against HP respecting the Products covered by such Purchase Order(s), and Ingram shall provide all cooperation reasonably requested by PeoplePC in order for PeoplePC to assert and vindicate such assigned rights, including, without limitation, communicating directly with HP if PeoplePC deems such direct communication by Ingram to HP to be necessary or appropriate, provided that People PC shall be obligated to pay any expenses (including attorney's fees and costs) reasonably incurred by Ingram in connection with such cooperation.
Products Sold. FJJH shall permit its vendors to sell only those products that are pre-approved by FJJH, or its designee. No food shall be cooked or prepared for on-site consumption and served to the public by any vendor, except for tastings, hand-helds snacks, or by up to two (2) permitted food trucks or aforementioned vendors, unless otherwise approved in writing by the Town. All food trucks operating at the ▇▇▇▇▇▇’▇ Market must obtain the appropriate inspection permits by the Town of Bedford Building Department and comply with all other requirements applicable to vendors set forth herein including but not limited to providing the same form of Indemnification and Hold Harmless Agreement attached as Exhibit “B”.
