Prohibition on the Disposal of Collateral. Except as otherwise permitted by the Credit Agreement and this Agreement, the Assignor shall not: (i) dispose of the Collateral; (ii) sell, factor or assign book or other debts forming part of the Collateral; or (iii) sign any kind of agreement that provides for the non-assignability or the assignability subject to the prior written consent of a third party of the Assigned Receivables.
