Common use of Project Documents and Copyrights Clause in Contracts

Project Documents and Copyrights. 6.1.1 City ownership of project documents: All work product (electronically or manually generated) including but not limited to cost estimates, studies, design analyses, original mylar drawings, Computer Aided Drafting and Design (CADD) file diskettes, and other related documents which are prepared in the performance of this contract (collectively referred to as project documents) shall be the property of the City and are to be delivered to the project manager before the final payment is made to the ▇▇▇▇. Nonetheless, in the event these project documents are altered, modified or adapted without the consent of the ▇▇▇▇, which consent the ▇▇▇▇ shall not unreasonably withhold, the City agrees to hold the ▇▇▇▇ harmless to the extent permitted by law, from any liability arising out of or resulting from the City’s alteration, modification or adaptation of the project documents.
